Biography

Overview

Thomas Killeen is an associate whose practice focuses on corporate and financial transactions, with a particular emphasis on capital markets transactions. Thomas has advised private equity firms, issuers and underwriters on US. and European securities law and ongoing reporting matters in connection with a variety of complex, cross-border corporate financings, including general debt and equity capital markets transactions (both SEC-registered and exempt), leveraged finance and high yield debt offerings, initial public offerings and rights offerings, and public and private M&A, among others. His recent capital markets work includes international equity and debt capital markets transactions (with a particular emphasis on issuances pursuant to Regulation S and/or Rule 144A) in the Nordic countries.

Thomas regularly advises European companies and financial institutions on various aspects of US law, with a particular focus on US federal securities laws.

Prior to joining White & Case in 2020, Thomas practiced at the London headquarters of a Magic Circle law firm, as well as the New York headquarters of a leading white shoe law firm.

Representation of Citi, Handelsbanken and Nordea, as underwriters, joint global coordinators and joint bookrunners, on the SEK 13.95 billion (approximately US$ 1.33 billion) rights issue of Beijer Ref, one of the largest refrigeration wholesalers in the world.

Representation of Koskisen Corporation, a Finnish family-owned wood processing company, on the IPO and listing on Nasdaq Helsinki. Nordea acted as the sole global coordinator and bookrunner. At the offer price, Koskisen Corporation had a market capitalization of approximately €141.5 million.

Representation of Citigroup, SEB and Carnegie on the rights issue of SEK 9.583 billion of Securitas AB (publ), a global provider of security services based in Sweden.

Representation of Van Lanschot Kempen N.V. and Pareto Securities AB acting as Joint Bookrunners on the SEK148 million rights issue of class B shares in Biovica International AB (publ), a biotechnology company listed on Nasdaq First North Premier Growth Market.

Representation of Nordea Bank Abp and Citigroup Global Markets Ltd. as joint bookrunners and joint lead managers and OP Corporate Bank plc, Skandinaviska Enskilda Banken AB (publ) Helsinki Branch and Swedbank AB (publ) (in cooperation with Kepler Cheuvreux S.A.) as the co-lead managers in the fully underwritten approximately €510 million rights offering of Finnair Oyj, the flag carrier and largest airline of Finland.

Representation of Danske Bank A/S, a Danish financial institution, in its offer to exchange any and all of its outstanding US$1.5 billion 5.000% non-preferred senior notes due 2022 for newly issued US$-denominated 5.000% non-preferred senior fixed rate resettable notes due 2023 and a cash fee of US$2.00 per US$1,000 principal amount of existing notes exchanged. US$419,257,000 aggregate principal amount of existing notes were validly tendered and accepted. BNP Paribas Securities Corp., BofA Securities, Inc., Danske Bank A/S and J.P. Morgan Securities LLC acted as dealer managers. The existing notes are admitted to the official list and to trading on the regulated market of Euronext Dublin. Representation of Skandinaviska Enskilda Banken and Danske Bank as joint global coordinators, and Swedbank and Stifel as joint bookrunners, in the €230 million (SEK 2.3 billion) initial public offering and dual listing of Nanoform, a company in the business of particle engineering (nanoforming) of active pharmaceutical ingredients, on the First North Growth Market of Nasdaq Helsinki and Nasdaq Stockholm. The IPO was completed during the ongoing COVID-19 pandemic.

Representation of Stora Enso Oyj in the annual update of its €4 billion medium-term note (EMTN) program. Citigroup is acting as arranger and Barclays, BNP Paribas, Citigroup, Crédit Agricole CIB, Deutsche Bank, DNB, Goldman Sachs International, J.P.
