Tom is a finance lawyer who focuses on project finance, reserve-based lending, Islamic finance, commodity-based financings, export finance and other structured finance transactions.

He has particular experience in large complex multi-sourced project financings in Europe, the Middle East and Africa involving project bondholders, Islamic banks, commercial banks, export credit agencies and development financial institutions. Tom's focus is on oil & gas financings across the value-chain.

Experience

Chrysaor RBL

Advising Harbour Energy and Chrysaor on the up to US$1.5 billion senior secured reserved based lending, together with a US$400 million junior facility, for the purpose of acquiring certain North Sea assets from Shell. The transaction is the 5th largest UK North Sea acquisition ever and the 2nd largest in the last 10 years, the largest private equity investment for a UK North Sea acquisition and the largest RBL for a UK North Sea acquisition.

YASREF Corporate Facilities

Representing Yanbu Aramco Sinopec Refining Company (YASREF) Limited and its shareholders, Saudi Aramco and Sinopec on its US$4.7 billion syndicated loan facilities.

Saudi Aramco US$10 billion Revolving Credit Facilities

Advised Saudi Aramco on its landmark US$10 billion revolving credit facilities which are divided into two US dollar conventional tranches (in an aggregate value of US$7 billion) and two Saudi Riyal murabaha tranches (in an aggregate value of US$3 billion).

Sadara Chemical Complex

Advised Saudi Aramco on the US$12.5 billion project financing of the world-scale integrated Sadara chemical complex in Jubail Industrial City, Saudi Arabia. The transaction involved financing from seven export credit agencies, including COFACE, Euler Hermes, FIEM, KEXIM, K-sure, UK Export Finance and US Ex-Im Bank, a project Sukuk, as well as a diverse range of commercial banks and Islamic financial institutions.

Energean RBL

Representation of Energean Oil & Gas S.A. in connection with the US$95 million reserves-based lending facilities from EBRD for the purposes of financing its offshore Greece assets.

PICO RBL

Representation of the arranging banks (including IFC and EBRD) on the US$250 million reserve based lending facility for the PICO group in respect of offshore oil fields, Egypt.

Petroceltic RBL

Representation of the arranging banks in the up to US$500 million reserve based lending facility in respect of Petroceltic and its assets in Algeria, Bulgaria and Egypt.

Petrobras Oil & Gas B.V., RBL

Advising the mandated lead arrangers in respect of the up to US$1.5 billion reserve based lending financing for Petrobras Oil & Gas B.V. of oil and gas assets in offshore Nigeria.

Core Energy RBL

Advising the mandated lead arrangers in respect of a reserves-based finance facility provided to Core Energy AS, a Norwegian oil & gas company.

Nord Stream Gas Pipeline Project

Advised Nord Stream AG in connection with Phase 1 of the €9bn Nord Stream gas pipeline project connecting the Russian and European gas grids which raised €6.5bn of debt in the international project finance market.
