Tomás Arrambide is an Associate in the Corporate/M&A Group in Madrid.
His practice focuses on cross-border and domestic private M&A and private equity transactions, joint ventures, corporate restructurings and transactional corporate work for a range of listed and unlisted clients.
Experience
Some representative examples of Tomás's experience includes assistance to:
360 Energy on the preparation, drafting, and negotiation of lease agreements and power purchase agreements (PPAs) in connection with the development and construction of self-consumption solar photovoltaic (PV) installations across multiple jurisdictions, including Spain, co-located within the manufacturing facilities of an international automotive group.
Solaria Energía y Medio Ambiente S.A. on the sale of 50% of its subsidiary Generia Land, S.L., to Stonepeak and the implementation of a JV agreement for the acquisition of land parcels for renewable energy and battery projects to be leased.
Charterhouse Capital Partners on its acquisition of c.80% of the shares of Metrodora, S.L. to Magnum Capital for an amount of c. 270 million.
Morgan Stanley Infrastructure Partners (MSIP) on the acquisition of 100% of the shares in Valoriza Servicios Medioambientales, S.A. (Valoriza) from Spanish construction group Sacyr S.A. (Sacyr) for a total consideration (enterprise value, including debt) of €734 million.
Acciona Energías Renovables, S.A. on the sale of 100% of the shares of Acciona Saltos de Agua, S.L., owner of 23 hydroelectric assets with an aggregate capacity of c.175 MW, to Elawan Energy, S.L., a subsidiary of ORIX Corporation, for €287 million.
Waterland Private Equity-backed Median Group on its acquisition of Spanish company Hestia Alliance, S.L. and its group of clinic operators.
Providence Equity Partners on its auction sale of a 50% stake in Globeducate for an enterprise value of c. €2 billion, a primary and secondary education provider with a network of 65 international schools across 11 countries.
Waterland Private Equity on its acquisition of 50% of the shares of Montronic Vic, S.L., a Spanish company engaged in the development, manufacture and marketing of electronic control devices and systems, and on the creation of a joint venture with Electronic Manufacturing Holding, S.L., the founder and owner of the remaining 50%.
Waterland Private Equity and its portfolio company Electronic Manufacturing Group, S.L. on the acquisition of Surtel Electrónica, S.L. and Sotesur Soluciones Técnicas del Sur, S.L., Spanish companies dedicated to the development, manufacture and marketing of electronic control devices and systems. The acquisition was structured as an add-on to the initial acquisition of Montronic Vic, S.L. (also 100% owned by Electronic Manufacturing Group, S.L.), and was financed by international debt fund Ares Management.
