Vít Stehlík practices in the areas of energy law, construction (including EPC and EPCM contracts) and M&A.
His significant track record and reputation in these fields has attracted major domestic and multinational clients, often operating within the energy sector. These include the two largest energy companies in the Czech Republic, ČEZ and the RWE Group, both of which he regularly advises on a broad range of general, energy and project-related legal issues in multiple CEE jurisdictions, including Slovakia, Bulgaria, Romania, Montenegro, Macedonia, and Bosnia Herzegovina.
Vít's significant practice experience has given him a thorough grasp of the full spectrum of legal challenges faced by energy clients, from the successful execution of major M&A deals, to an array of complex regulatory matters, as well as the development, financing and documentation of international construction projects.
Vít's skill in navigating the legal intricacies of large-scale, cross-border transactions has been demonstrated by his involvement in a number of ground breaking deals, both within the Czech Republic and across Europe. These include the representation of RWE AG, a leading European electricity and gas company, in connection with the sale of its 100 percent share in NET4GAS, the Czech gas transmission system operator (TSO), to a consortium of Allianz and Borealis Infrastructure for close to €1.6 billion.
Vít also regularly advises energy companies in connection with various regulatory requirements, defined at both the national and European levels. Matters regarding which he has provided advisory services include the unbundling-driven corporate restructuring of ČEZ group, RWE and the Bulgarian Energy Holding.
Vít brings insight and experience to the array of complex legal issues involved in large-scale construction projects. His significant reputation in this field has led to his involvement in numerous major Czech and international enterprises, including the 160 km gas Gazelle pipeline in the Czech Republic, a continuation of the Nord Stream and Opal transmission lines.
HSBC plc, 2008–2014
Representation of HSBC Bank plc in connection with the provision of a bank guarantee facility, for the issuance of bank guarantees for the completion of a nuclear power plant in Mochovce, Slovakia by ŠKODA JS a.s., a Czech nuclear EPC power plant contractor. The assignment included extensive reviews and negotiations of the EPC contract (and its subsequent amendments) for the delivery of nuclear islands for the two new units of the Mochovce nuclear power plant, as well as items related to the Vienna Convention and nuclear liability issues.
ČEZ Distribuce, 2010–2014
Continuous legal services to ČEZ Distribuce, a.s., the major electricity distribution system operator in the Czech Republic, in connection with various energy regulatory issues and public contracts within the context of the European legislation. Vít is leading a team of White & Case lawyers providing legal services to the client. He has advised ČEZ Distribuce on a range of matters, including those relating to the consequences of increased grid connections for solar power plants in the Czech Republic, including the interpretation of the applicable renewable energy laws, the public procurement process concerning (both core and non-core) supplies, services and construction works procured by ČEZ Distribuce, as well as the preparation of the tender and contractual documentation.
Bulgarian Energy Holding, 2012–2013
Representation of Bulgarian Energy Holding, the stateowned energy company that holds a leading position in the electricity and gas market in Bulgaria, in connection with the unbundling of its electricity system operator and the application of certification as the independent system operator (ITO), as required under the Third Energy Package of the European Union. This was a complex restructuring project that required excellent understanding of the European energy legislation and regulatory expertise.
RWE AG, 2012–2013
Representation of RWE AG, a leading European electricity and gas company, in connection with the sale of its 100 percent share in NET4GAS, s.r.o., the Czech gas transmission system operator, to a consortium of Allianz and Borealis Infrastructure. The consortium acquired the shares for an enterprise value close to €1.6 billion, making this one of the largest M&A deals in the country over the past several years. Vít led the Prague team that was responsible for the Czech law aspects of the transaction.
Representation of NET4GAS, s.r.o., acting as the gas TSO in the Czech Republic, in connection with the construction of a 160 km gas pipeline (Gazelle) in the Czech Republic, a continuation of the Nord Stream and Opal Transmission lines. Among others, Vít primarily advised on the procurement process and the engineering, procurement and construction (EPC) contracts. Vít's involvement in the project was also instrumental in helping the client secure third party access (TPA) exemption to the pipeline in accordance with European Union law.
