Overview

Won Sun Jung is a Local Partner in the Corporate / Mergers & Acquisitions practice group based in Seoul.

Won Sun advises public and private companies and private equity funds and sponsors on mergers & acquisitions, and provides commercial advice for overseas expansion through subsidiaries, contractors and distribution agreements. She has also represented issuers and underwriters on capital markets transactions in a broad range of securities deals, including SEC-registered and Rule 144A/Regulation S initial equity offerings and high-yield bond offerings.

Examples of Won Sun's recent experience include:

Representation of private equity sponsors, such as Kohlberg Kravis Roberts & Co., The Blackstone Group and their portfolio companies, in mergers and acquisitions and private equity transactions, including advising The Blackstone Group on its $26 billion acquisition of Hilton Hotels Corporation.*

Representation of the lenders and private equity sponsors in the establishment of secured revolving credit facilities, term loan facilities and LBO bid commitment papers.*

Representation of issuers and underwriters on capital markets transactions involving domestic U.S. and non-U.S. corporations, government-related entities and investment banks in a broad range of securities transactions including SEC-registered and Rule 144A/Regulation S initial equity offerings, high-yield bond offerings, commercial paper programs and other capital-raising transactions. Regularly advised clients with respect to SEC matters, corporate governance, U.S. securities laws and general corporate matters.*

Representation of issuers and managers in liability management engagements, including representations of major investment banks as dealer managers or solicitation agents, as well as issuers, in connection with debt tender offers, exchange offers and consent solicitations.*

Representation of Korean and Chinese issuers and underwriters in connection with international offshore debt and equity transactions under Rule 144A, Regulation S and Regulation D. Represented underwriters in the establishment and drawdowns of MTN programs as well as bond offerings under 144A/Reg S and Reg S only.*
