Yan is an associate in the Mergers & Acquisitions Practice Group, and is based in the New York office. Yan focuses her practice on domestic and cross-border mergers and acquisitions, private investments, joint ventures and general corporate matters in a wide range of industries.

Prior to joining White & Case, Yan was a senior associate in the New York office of a major Chinese law firm, advising private and public clients on cross-border M&A deals, joint ventures, venture capital transactions and De-SPAC transactions.

Recent transactions include the:

  • Representation of Saudi Aramco in its entry into an Equity Purchase Agreement with US-based automotive services provider Valvoline, Inc., to acquire Valvoline, Inc.'s Global Products Business for US$2.65 billion, subject to certain customary adjustments.
  • Representation of a group of funds in their equity investment in connection with financing the acquisition of TransUnion's healthcare business by nThrive, Inc., sponsored by Clearlake Capital.

Her experience prior to joining White & Case includes the:

  • Representation of Scienjoy Inc. in its business combination with Wealthbridge Acquisition Limited, a NASDAQ-listed SPAC.
  • Representation of Joinn Laboratories (China) Co. Ltd. (HKEX: 06127) in its acquisition of Biomedical Research Models, Inc., a Massachusetts-based pre-clinical CRO.
  • Representation of Tsingshan Group in connection with its establishment of an innovative 50-50 joint venture with Allegheny Technologies Incorporated (NYSE: ATI), to reopen a stainless steel DRAP finishing facility in Western Pennsylvania.
  • Representation of Zhejiang Semir Garment Co. (SZ: 002563) in its equity investment in JWU LLC, a New York-based fashion company involving the leading designer brand Jason Wu.
  • Representation of Caissa Sega Tourism Culture Development Group Co., Ltd. in its US$65 million acquisition of a 21.1% stake in Tuniu Corporation (NASDAQ: TOUR) from subsidiaries of JD.com, Inc. (NASDAQ: JD).
  • Representation of Thalys Medical Technology Group Corp (SH: 603716) in its equity investment in LevitasBio, a life science technology company using novel platform magnetic levitation technology.
