Biography

Overview

Youssef is an associate based in Cairo and is a member of our Corporate and Mergers and Acquisitions Group. Youssef advises a wide range of clients including government entities, international and local corporates, high-net-worth individuals and private equity firms on a vast range of corporate matters. For the past two years, Youssef has been the go-to lawyer for Amazon's legal team in the Middle East and North Africa and has been advising them on all sorts of corporate matters relating to Amazon and its subsidiaries including advisory work in relation to the enforceability of a foreign judgement in Egypt.

Before joining White & Case, Youssef worked as Legal Counsel in Orascom Development Holding (ODH). While working in ODH, Youssef's focus was on hotel management agreements and land development agreements and has extensively worked on the re-listing of Orascom Development Egypt on the Egyptian Stock Exchange as well. Youssef has since advised premium local and international real estate and hotel management clients on complex matters in White & Case.

He also works extensively on pro bono matters and has represented Women's Word Banking, Red Cross Covid 19 Research, Avon Center Database, and the Lead Foundation.

Experience

Representative experience includes:

Representation of Saudi Telecom Company (stc) on a sell-down by the Public Investment Fund (PIF), of a portion of PIF's shares in stc amounting to six percent of stc's share capital, through a fully marketed secondary offering. This transaction represents the first fully marketed secondary offering by a company listed on the Saudi Stock Exchange (Tadawul). The offering raised SAR 12 billion (approximately US$3.2 billion) for PIF, making it the largest equity capital markets transaction in the Kingdom of Saudi Arabia since the IPO of Saudi Aramco.

Representation of Riyadh Cables Group Company (RCG), the largest power and communications cables maker in the Middle East, on their initial public offering on the Main Market of the Saudi Stock Exchange (Tadawul) with the total IPO proceeds raising SAR 1.4 billion (approximately US$378 million).

Representation of Moneta United Technologies in the development, construction, expansion, and advice in relation to the technology zone of the Sea City Project in Kuwait and the Moneta group's technology and innovation investments.

Representation of Berain Company in relation to their contemplated Initial Public Offering of the common shares of a leading company that operates in the beverages industry in the Kingdom of Saudi Arabia.

Representation of Amazon regarding payments specific advisory work in relation to the various regulatory regimes in the Kingdom of Saudi Arabia, the United Arab Emirates, and Egypt.
