Biography

Overview

Yulia is a construction and project development lawyer advising on major projects in the Middle East, CIS, Europe and Asia.

She advises sponsors, procurers, investors and lenders on the development of and investments in greenfield and brownfield projects across various industries, including petrochemical, LNG, infrastructure and power.

Her experience includes the preparation, negotiation and due diligence of design, supply, construction and consultancy arrangements, including FEED, EPC, D&B, EPCM, PMC, EP+C contracts, technology licence agreements, basic design (PDP/BDP) contracts, proprietary equipment and catalyst supply agreements, technical services contracts.

She also has experience advising developers at a post-award stage of construction projects, including interpretation of contracts, work with claims, change orders, preparing and negotiating addenda, termination contracts and settlement agreements.

Representative experience includes:

Representation of Engro Powergen Thar (Private) Limited on the operation and maintenance contract signed with Harbin Electric International for the 660 MW (Gross) Coal-Fired Power Generation Complex in Pakistan.

Representation of Al Balad Development Company to develop its suite of construction and procurement contracts, including: (1) construction contract (long and short forms); (2) EPC contract; (3) DBO contract; (4) Technical Services Contract; (5) Architect / Engineer Services Contract; (7) Supply and Install Contract. The construction forms were drafted on the basis of the FIDIC forms of contract.

Representation of the Diriyah Gate Development Authority in relation to the preparation of standard form contracts for a range of construction, procurement and consultancy services.

Representation of PT Pertamina Rosneft Pengolahan dan Petrokimia, a joint venture of Rosneft (a major oil & gas company in Russia) and Pertamina (Indonesian state-owned oil and gas company), on the construction of the USD 20 bln Tuban grass root refinery and petrochemical complex at Tuban, Indonesia, including work on the technology licence packages, EPC and EPCM contracts.*

Representation of a wholly owned subsidiary of the PIF on the strategic procurement of a new city development in Saudi Arabia, including advice on D&B and O&M contracts.*

Representation of the lenders to the winning bidding consortium of Alkhorayef and Cobra on the Rayis – Rabigh independent water transmission pipeline (IWTP) project in Saudi Arabia, including review of the EPC and O&M arrangements.*

Representation of EDF-Renouvelables and Korean Western Power Company on the EPC and O&M arrangements for the Manah I solar power project in Oman.*

Representation of Air Products Qudra in connection with the purchase of certain hydrogen-producing units and related assets from Saudi Aramco's affiliates, including work on technical services contracts and review of technology licences.*

Representation of Gazprom Pererabotka Blagoveshchensk in connection with construction, procurement and financing of the EURO 19 bln Amur gas processing plant (to be one of the biggest natural gas processing facilities in the world) including preparing and negotiating construction, EPC and EPSS contracts, technology licence and other project agreements and advice at the post-award stage.*

Representation of RusChemAlliance (JV of Gazprom and Rusgazdobycha) in relation to construction, procurement and financing of its new USD 20 bln integrated gas processing and LNG liquefaction project development in Ust-Luga, Russia, including advice on the construction strategy, preparing and negotiating with international contractors FEED, EPC, EPSS and EPCM contracts.*

Representation of China National Oil and Gas Exploration and Development Company Ltd (CNODC) on its acquisition of 10% in Arctic LNG 2 from Novatek, including conducting extensive legal due diligence of construction contracts and technology licences.*

Representation of LUKOIL (the largest private Russian oil producer) on technology licences, FEED contract, contract strategy and development of a USD 2bln greenfield downstream project in Russia.*
