White & Case advises bank syndicate on Soitec’s €500 million ORNANEs and concurrent delta share placement

Global law firm White & Case LLP has advised a syndicate of banks in connection with the issue of €500 million senior unsecured bonds settled in cash and/or convertible into new shares and/or exchangeable for existing shares (ORNANEs) due 2033 by Soitec, and the concurrent delta placement of shares via an accelerated bookbuilding (ABB) process.

This offering, offered only to qualified investors, was successfully completed on 25 September 2026. Soitec will use the net proceeds from the Offering for general corporate purposes, which may include refinancing of existing indebtedness and investments to support the organic growth of the Company.

The bonds will bear interest at an annual nominal rate of 0.50%, payable annually, and will be admitted to trading on Euronext Access.
Concurrent with the issuance to facilitate hedging for certain subscribers of the bonds, the banks have also arranged for a placement of existing shares of Soitec in short sales.

BNP PARIBAS and Goldman Sach acted as global coordinators and joint bookrunners and Crédit Agricole Corporate and Investment Bank, J.P. Morgan and Société Générale acted as joint bookrunners for the issuance of the bonds.
