White & Case Advises HG Vora Capital Management on Proxy Contest With PENN Entertainment

Global law firm White & Case LLP has advised HG Vora Capital Management, LLC on the election of two of its nominees, Johnny Hartnett and Carlos Ruisanchez, to PENN Entertainment, Inc.'s Board of Directors at the company's 2025 Annual Meeting of Shareholders.

HG Vora's third nominee, William Clifford, also received support from the majority of votes cast. HG Vora is litigating to have its third candidate seated to the Board of Directors, consistent with the shareholder vote.

The White & Case team which advised the campaign was led by M&A partners Richard Brand, Gregory Pryor and Jaye Kasper, and associates Kai Glick, Eliot Murphy and Edward Ernst (all in New York).
