Representative matters include:

  • Representation of Occidental Petroleum Corporation (NYSE: OXY) on the development of STRATOS, the world's largest Direct Air Capture (DAC) facility. Occidental has formed a joint venture with BlackRock Inc., the world's largest asset manager, in connection with the STRATOS project with BlackRock investing US$550 million into the joint venture.
  • Representation of sponsor portfolio borrowers in connection with US$150,000,000 revolving and term loan credit agreement. The proceeds of the facility were used to fund the sponsor distribution and for other corporate purposes.
  • Representation of Marathon Oil EF II LLC, a subsidiary of Marathon Oil Corporation (NYSE: MRO), one of the nation's leading exploration and production oil and gas companies, in its US$3 billion acquisition of Eagle Ford assets of Ensign Natural Resources, an exploration and production company based in Houston.
  • Kimbell Royalty Partners in connection with its approximately US$106.5 million common unit equity offering in tandem with its US$ 290 million acquisition of mineral and royalty interests held by Austin-based Hatch Royalty, LLC.
  • Morgan Stanley & Co. LLC, as sole book-runner and initial purchaser, on W&T Offshore Inc.'s US$275 million offering in second lien notes.
  • TKB Critical Technologies 1 (NASDAQ: USCT) ("TKB") in connection with its business combination agreement to combine with Wejo Group Limited.
