Biography

Brian Munsie is an associate in White & Case's Americas Capital Markets Group in New York. Brian has extensive experience in a range of private and public securities offerings and corporate financing transactions, including high-yield and investment grade debt offerings, liability management transactions and structured financings.

Brian has assisted domestic and foreign issuers, investment banks and sponsors on Rule 144A/Reg S offerings, SEC registered public debt and equity offerings, consent solicitations, exchange offers, tender offers, leveraged financing commitments, acquisition financings, preferred equity issuances and a broad range of other financing transactions and corporate matters. This work spans varying industries including energy and power, financial services, technology, media & telecommunications, life sciences and healthcare.

Experience

Brian's relevant experience includes representation of:

Talen Energy Supply in connection with various corporate and financing transactions including: (i) the successful remarketing of US$131 million aggregate principal amount of Pennsylvania Economic Development Finance Authority (PEDFA) Exempt Facilities Revenue Refunding Bonds and (ii) the issuance of US$1.5 billion senior notes due 2031 and US$2.5 billion senior notes due 2033.

Alpha Generation, LLC on its inaugural financings, consisting of a US$2.0 billion senior secured term loan, US$1.0 billion of senior notes, and a US$700 million senior secured revolving credit facility.

Funds managed by affiliates of Apollo Global Management, Inc. (Apollo) on a US$1.2 billion investment in QXO, Inc. by Apollo and certain other investors through a new series of convertible perpetual preferred stock.

Certain key investors in ION Group in connection with ION Platform's over $10 billion (equivalent) refinancing transactions, including entering into a transaction support agreement in connection with a series of highly successful exchange offers, which were seamlessly synchronized with new capital raise and refinancing transactions.

A syndicate of leading financial institutions in connection with EZCorp's issuance of US$300 million senior notes due 2032.

CION Investment Corporation on its issuance of US$172.5 million aggregate principal amount of new senior unsecured notes due 2027 and new senior unsecured notes due 2029.

A syndicate of leading financial institutions in connection with Atlanticus Holdings' issuance of US$400 million senior notes due 2030.

A syndicate of leading financial institutions in connection with Jefferies Finance's issuance of US$500 million senior secured notes due 2031.

Bausch Health in connection with its exchange offer for $5.6 billion of existing senior notes for US$3.1 billion new secured notes.

Ares Special Opportunities Fund as Administrative Agent and a Lender in connection with a US$310 million holdco term loan to GTWY Holdings Limited.  GTWY is the holding company for Canadian casino operator Gateway Casinos and Entertainment, which operated 31 casinos across British Columbia, Alberta, and Ontario.

Kallpa Generación S.A. on its issuance of US$500 million aggregate principal amount of 5.875% senior notes due 2032 and a corresponding tender offer for Kallpa's existing 4.875% senior notes due 2026.

A syndicate of leading financial institutions in connection with Univision's issuance of US$1.05 billion senior secured notes due 2029, as part of a US$2.1 billion debt financing package for the business combination of the media content business of Televisa with Univision's business.

A syndicate of leading financial institutions in connection with R.R. Donnelley & Sons Company issuance of $285 million of junior lien secured notes due 2028.
