Overview

Hiroyuki Koda is an associate in the Mergers and Acquisitions Practice Group, and is resident in the New York office. Mr. Koda represents domestic and international buyers and sellers in domestic, cross-border and global mergers and acquisitions, joint ventures and private investments across a broad range of industries.

Prior to joining the Firm, Mr. Koda served as a judicial law clerk for the Honorable James L. Canto II of the Unified Courts of Guam.

Recent matters include the representation of:

Soaring Eagle Acquisition Corp. (NASDAQ: SRNG), a SPAC, in its US$15 billion business combination with Ginkgo Bioworks, Inc., a synthetic biology company, which uses technology to program cells for a potentially wide variety of uses, including fragrances and sweeteners, as well as mRNA vaccines and animal-free proteins.

Panasonic Corporation in its acquisition of the remaining 80 percent of the capital stock interests of Blue Yonder, a leading end-to-end, digital fulfillment platform provider, at an enterprise value of US$8.5 billion on a cashfree, debt-free basis. This transaction adds to the 20 percent stake of Blue Yonder that Panasonic Corporation acquired in 2020, also represented by White & Case.

D8 Holdings Corp. (NYSE: DEH), a SPAC, in its US$1.1 billion business combination with Vicarious Surgical Inc., a next-generation robotics technology company seeking to improve both cost and efficiency of surgical procedures as well as patient outcomes.

CITIC Capital in its US$770 million acquisition of GNC Holdings Inc. through its subsidiary Harbin Pharmaceutical Group Holding Co., Ltd. pursuant to Section 363 of the United States Bankruptcy Code.

Sony Corporation of America, a subsidiary of Sony Corporation, in its investment of approximately US$400 million in Bilibili Inc., a China-based provider of online entertainment services, through subscription of new shares.

Advance Stores Company, Inc., a wholly owned subsidiary of Advance Auto Parts, Inc.,a leading automotive aftermarket parts provider, in its $200 million acquisition of the DieHard brand from Transform Holdco LLC, a leading integrated retailer, in exchange for cash consideration.

Mizuho Leasing Company, Ltd., a Japanese general leasing company, in the US$160 million acquisition of 50 percent of the membership interest of PLM Fleet LLC, a US refrigerated truck leasing and rental company.
