Biography

Janie Callaway represents clients in a variety of complex business transactions in the energy and real estate industries, including offshore and onshore wind generation facilities and other projects in the renewable power industry; carbon capture, sequestration, and utilization projects; hydrogen projects; and pipelines and other midstream facilities.

Janie advises energy companies, private equity investors and financial institutions on transactions including acquisitions and dispositions of assets and companies, project development, joint ventures.

Experience

Select experience includes:

Representation of PROPWR in the long-term commitment to provide 80 MW of behind-the-meter power generation capacity servicing a microgrid installation in the Permian Basin.*

Representation of Navigator CO2 Ventures LLC in the development of an industrial scale carbon capture pipeline system of more than 1,200 miles of new carbon dioxide pipeline across five Midwest states with the capability of permanently storing up to 5 million metric tons of carbon dioxide per year.*

Representation of Equinor in the $1.1 billion sale of a 50 percent interest in two US offshore wind development projects to BP, including formation of a partnership to develop and operate the Empire Wind project offshore New York and Beacon Wind project offshore Massachusetts, which together could generate up to 4.4 GW.*

Representation of Global Infrastructure Partners in the formation of OW Ocean Winds East Holdings, LLC, a joint venture with OW North America LLC, to develop an offshore wind project offshore New York and that secured one of six leases in the New York Bight offshore wind auction.

Representation of Cactus, Inc. in the approximately $620 million acquisition of FlexSteel Technologies Holdings, Inc. and certain of its affiliates.*

Representation of Rockland Capital LLC in the:

  • sale of a 778 MW portfolio of natural-gas power facilities in Illinois, including the Tilton Energy Center, the Gibson City Energy Center and the Shelby Entergy Center, to Earthrise Energy.*
  • acquisition of the Ector County Energy Facility, a 330-MW natural gas-fired power facility located in the ERCOT West Zone in Odessa, Texas, from Ector County Energy Center, LLC, an affiliate of Invenergy LLC.*

Representation of TC Energy Corporation as US counsel in connection with the Government of Alberta's $1.1 billion equity investment and $4.2 billion loan guarantee to support construction of the Keystone XL crude oil pipeline.*

Representation of a large midstream company in development of a clean fuels gathering and production project to produce renewable natural gas from fugitive coal mine methane gas.*
