Biography

Overview

Joanna Misztal-Dzitko is an advocate in the Debt Finance practice. She has nearly 20 years' professional experience specializing in banking and finance, with particular focus on real estate finance and project finance. She has supervised due diligence analyses and advised on matters regarding real estate and M&A transactions and company law. She has experience in advising domestic and foreign financial market institutions on regulatory matters, including outsourcing, banking secrecy, setting up branches and representative offices.

Prior to joining White & Case Joanna has gained significant experience working in renowned international law firms based in Warsaw as well as in the legal department of one of the foreign banks, where she not only provided legal assistance in the current affairs (including granted loans) but also supervised cooperation with external law firms, took part in the creation of new banking products, dealt with the regulator and advised on regulatory issues and the compliance area.

Experience

A consortium of banks: representation of a consortium of four banks in connection with the financing of the acquisition by the Maspex Group of CEDC (the Polish assets of Roust Corporation) up to the amount of PLN 2.8 billion (EUR 600 million). White & Case advised the consortium on all the legal aspects of the acquisition financing, including negotiating and signing of the facilities agreement and se-curity documents and fulfillment of the conditions for disbursement.

A consortium of banks: representation of mBank S.A. and BNP Pari-bas Bank Polska S.A. in a club deal consisting of an amendment to the terms and conditions of financing granted by the consortium to Zarmen GPP sp. z o.o. The financing was granted for the purpose of, among others, the purchase of the CO2 emission allowance.

mBank: representation of mBank S.A., as the facility agent, Bank Gospodarstwa Krajowego S.A., and Santander Bank Polska S.A., as the security agent, in connection with a financing of approximately EUR 105 million for the purpose of financing and refinancing of the KTW office and retail buildings project in Katowice, offering nearly 63,000 square meters of office and retail space.

A foreign bank: representation of a foreign bank on a refinancing re-lating to the acquisition of a portfolio of warehouses in Poland.

A foreign bank: representation of a foreign bank on a refinancing re-lating to the acquisition of the organized part of the enterprise, in-cluding, among others, the ownership of the office and service build-ing in Warsaw.

A foreign bank: representation of a foreign bank in connection with the refinancing related to the purchase of one of the trophy buildings in Warsaw.

A foreign bank: representation of a foreign bank in connection with the financing of the purchase of an outlet centers portfolio in Poland.

An asset, investment and development management company: repre-sentation of an asset, investment and development management company in connection with one of the largest real estate refi-nancings of shopping centers, retail parks and hypermarket portfolio in Central Europe in recent years, total value of the transaction EUR 705 million.

A foreign investor: representation of a foreign investor in connection with the financing of the reconstruction of a shopping mall in Łódź.

A financial investor: representation of a financial investor in connec-tion with the financing of the construction of a shopping mall in Wrocław and subsequently on refinancing this facility, total value of the transaction EUR 130 million.
