Biography
Katie is an associate in the Employment, Compensation & Benefits practice.
Katie focuses her practice on executive compensation matters. She advises public and private companies, boards of directors, compensation committees and management teams with respect to day-to-day executive compensation considerations in their businesses. She guides clients on the design, implementation and administration of equity and cash incentive programs, severance and change in control arrangements, retention programs and other executive compensation arrangements. In addition, Katie drafts and negotiates employment agreements, separation agreements and other compensation-related agreements and plans, and advises clients on the the related tax implications and public disclosure requirements.
Katie also provides guidance on the executive compensation aspects of corporate transactions, including initial public offerings, spin-offs and mergers and acquisitions.
Prior to joining White & Case, Katie was an associate in the executive compensation practice at another international law firm.
Experience
GameStop Corp. (NYSE: GME) on the granting of a performance-based stock option award to the CEO, including approximately 171.5 million options granted with an exercise price of US$20.66, which vest if certain milestones are reached with respect to market capitalization and cumulative performance EBITDA.
LS Power on its entry into a definitive agreement under which Constellation Energy will sell a portfolio of generation assets in PJM for US$5 billion before closing adjustments.
