Overview

Kerrick Seay is a partner in White & Case's Debt Finance practice, based in New York. Kerrick's practice focuses on corporate finance and high yield debt securities.

Prior to joining White & Case, Kerrick spent over six years as internal legal counsel at Morgan Stanley covering the leverage and acquisition finance, liability management, Latin America and project finance business units. He has extensive experience in both public and private financing transactions, including cross-border financings, investment grade loans, high yield debt offerings, debt tender offers, exchange offers and consent solicitations, in a wide range of business sectors. This considerable experience in debt finance and debt capital markets and related legal and regulatory matters offers clients the benefit of his unique and valuable insight into a variety of financing structures.

Representation of Credit Suisse, as Administrative Agent and Collateral Agent in connection with US$435 million in senior secured credit facilities provided to SmartBear, a leading provider of software development and quality tools. The financing was provided in connection with a proposed investment in SmartBear by Vista Equity Partners.

Representation of Morgan Stanley Senior Funding, Inc., as Administrative Agent, Collateral Agent and Lender of the Second Lien Credit Agreement to RSA Security LLC (and/or various of its subsidiaries or parent companies), a computer network security company.

Representation of a leading financial institution in connection with senior secured credit facilities to a background screening provider provided in connection with a proposed investment in the company.

Representation of Owl Rock in connection with a senior secured loan to a leading pet supplier provided in connection with an investment by the pet supplier.

Representation of Credit Suisse, as Administrative Agent, Sole Lead Arranger and Sole Bookrunner, in connection with US$685 million in senior secured credit facilities provided to Cano Health, LLC, an operator of primary care centers and affiliated medical practices in Florida, Texas, Nevada, and Puerto Rico that specialize in value-based care for seniors. The financing was provided in connection with a proposed investment in Cano Health by JAWS Acquisition Corp. (a special purpose acquisition company) that valued the company at US$4.4 billion).

Representation of Deutsche Bank AG New York Branch, as Sole Lead Arranger, Bookrunner and Lender, in a senior secured credit facility to certain affiliates of J.F. Lehman & Company, in connection with its acquisition of Entact, LLC, a leading national provider of environmental remediation and geotechnical services.
