Maciej Zalewski focuses his practice on corporate and commercial law, with an emphasis on mergers and acquisitions, project financing, procurement, and arbitration.

Maciej supervises the aerospace and defense practice of the Warsaw office. His experience includes advising on large public and defense procurements, offset projects and industrial cooperation programs. He also advises clients from the IT sector in complex transactions.

Emperia Holding S.A.: Representation of Emperia Holding S.A., a Maxima Grupe UAB company, in connection with the sale of its subsidiary, Infinite Sp. z o.o., to DialCom24 Group (co-owner of Przelewy24), which specializes in the development and provision of financial and payment services for business and individual clients. Infinite Sp. z o.o. provides IT systems for innovative projects for the most demanding clients from many industries, including telecommunications, finance and FMCG, and is a paperless solution leader in Poland and many foreign markets such as Hungary, Romania and the United Arab Emirates, supporting over 3000 clients.

M7: Representation of M7 Real Estate, a European investor and asset manager, in connection with the acquisition of eight commercial properties in Poland in separate transactions for a total amount of €110 mln. The most recently acquired assets are Cristal Park and Mokotów Plaza in Warsaw, as well as the office and warehouse properties Eurologis I, Eurologis II and Długosza BC in Wrocław. At the beginning of 2019, M7 also acquired Green Park, a modern business complex in Katowice, Delta 44, a high quality multi-let office building in Wrocław's city center and Mazovia Plaza, a seven-story office building in Warsaw. In total, M7 purchased facilities with a gross leasable area (GLA) of more than 96.4 thousand sqm, which is more than 90% occupied by 120 tenants.

Waberer's International Nyrt.: representation of Waberer's International Nyrt. (owned by Mid Europa Partners), the European leader in full truckload – FTL- transportation, in connection with the acquisition of the Polish based companies Link sp. z o.o. and Link Services sp. z o.o. (a leading supplier of modern solution in the Transport sector). Link company has 427 trucks and 675 trailers.

REICO investiční společnost České Spořitelny, a.s.: representation of REICO, acting on behalf of ČS nemovitostní fond, the largest and oldest Czech open-ended real estate investment fund, in the €164 million acquisition of the Galeria Słoneczna in Radom.

Promontoria Hampton (1) Limited: representation of Promontoria Hampton (1) Limited (as a lender), being the subsidiary company of Cerberus Capital Management, L.P., and Balmain Polish Retail Investments sp. z o.o. (as a borrower) in connection with the sale by the borrower of portfolio of commercial real properties located in 8 different cities in Poland.

Blackstone Real Estate Partners Europe IV: representation of Blackstone Real Estate Partners Europe IV, part of Blackstone Group LP, on the acquisition from Obligo Investment Management AS of portfolios of real estate in multiple jurisdictions, including Poland. Part of the portfolio consisted of three real properties located in Szczecin, Poland.

Generali Real Estate S.p.A.: representation of a Generali Group company and a leading global real estate asset manager in the acquisition of real property located in Warsaw, developed with an office building known as Microsoft House (headquarters of Microsoft in Warsaw).

Kulczyk Investments S.A.: representation of KI Chemistry s.à r.l., a subsidiary of Kulczyk Investments S.A., in connection with the acquisition of a majority of shares in CIECH S.A., the leading European chemical company and the second largest producer of soda ash in Europe. The transaction was carried out by way of a tender offer for the acquisition of up to 66% of the issued share capital of CIECH S.A. Value of the transaction: PLN 835 million (USD 278 million).

Prologis: representation of Prologis, the leading global owner, operator and developer of industrial real estate, in the acquisition of industrial/warehouse portfolio in the Czech Republic, Slovakia and Poland, comprising Rudna Park near Prague, Senec Distribution Center near Bratislava and Zeran Park in Warsaw, from a global real estate investment management firm.

Penta Investments, a.s: representation of the client in connection with an equity investment in NFI EMPIK Media & Fashion S.A. in joint venture with Eastbridge.

Airbus Helicopters: representation of the client in various aspects of preparation of offset offer and negotiations of offset agreement to be signed with the Polish Ministry of Economy.
