Biography
Overview
Maciej Zalewski focuses his practice on corporate and commercial law, with an emphasis on Polish and international M&A and complex real estate transactions such as construction investments, project financing, procurement and arbitration. His experience also includes advising on large public and defense procurements, offset projects and industrial cooperation programs.
Clients who have benefited from his knowledge and experience hail from a range of business sectors, including technology, IT, private equity, retail, real estate and renewable energy.
Maciej co-heads the Real Estate practice and supervises the Aerospace and Defense practice in the White & Case Warsaw office.
Experience
Octopus Renewables Infrastructure Trust plc: representation of Octopus Renewables Infrastructure Trust plc on the acquisition of two in-construction onshore wind farms in Poland (the 'Krzecin' and 'Kuslin' wind farms) with a combined capacity of 58.8 MW from the PNE Group, a German developer of wind projects across Europe.
Funds managed by Octopus Renewables: representation of funds managed by Octopus Renewables in connection with the acquisition of a Polish wind farms portfolio of rated power of approx. 45 MW from OX2, a developer and seller of wind and solar farms.
GS Engineering & Construction Poland sp. z o.o.: representation of GS Engineering & Construction Poland sp. z o.o. in connection with a joint venture development project of a warehouse property in Lower Silesia. The project, with an area of 200,000 sqm, which is being constructed close to some of the largest warehouses and factories of companies operating in the e-commerce and electric vehicle sectors in Europe, is to comprise five buildings intended to serve both warehousing and light industrial purposes, while around 14,000 sqm is to be office space.
Global Compute Infrastructure: representation of Global Compute Infrastructure in connection with its agreement to acquire ATM S.A., the leading data center and communications infrastructure business in Poland, from a consortium of funds managed by MCI Capital, one of Poland's leading venture capital and private equity companies, and Mezzanine Management, an independent investment advisory firm.
Polish Aviation Group: Representation of the Polish Aviation Group, which owns LOT Polish Airlines S.A., in connection with the acquisition of Condor Flugdienst GmbH, Germany's most popular holiday airline operator. Unfortunately, the COVID-19 crisis affected the aviation sector the transaction was not finalized.
Emperia Holding S.A.: representation of Emperia Holding S.A., a Maxima Grupe UAB company, in connection with the sale of its subsidiary, Infinite Sp. z o.o., to DialCom24 Group (co-owner of Przelewy24), which specializes in the development and provision of financial and payment services for business and individual clients.
GLP: representation of GLP, a global market leader in logistics real estate, in connection with various aspects of their constructions and investment projects in Poland, including the purchase and development of several real properties in southern and central Poland and the creation of a joint venture with 7R, a dynamically growing developer operating on the Polish commercial real estate market, for future real estate projects.
Airbus Helicopters: representation of the client in various aspects of preparation of offset offer and negotiations of offset agreement to be signed with the Polish Ministry of Economy.
Lockheed Martin Corporation: representation of Lockheed Martin Corporation in connection with Harpia Program for F-35 aircraft delivery to Polish Ministry of Defense.
Lockheed Martin: representation of the client in connection with the largest offset program in the world (Polish F-16), as well as related projects and transactions.
