Biography

Overview

Madina is an Associate in Astana office and member of the Capital Markets Practice group.

Due to her work experience in AIFC Stock Exchange, she has extensive knowledge in terms of regulatory and compliance matters of AIX. She also has experience in analysis of legal matters and analytical research, being involved in drafting contracts, letters of order, prospectus, different types of agreements, and other finance related issues. Additionally, she conducted variety of due diligences and compliance checks in various spheres.

Prior to joining White & Case Madina has worked at AIFC Stock Exchange and the Big Four organization.

Experience

Advising on conduction company due-diligence and compliance checks for 18 brokers and custodians of AIX, including communication with the clients on behalf of AIX;*

Advising in relation to analysis of OFAC sanctions in respect of sanctioned brokers and custodians and identified the list of prohibited transactions and activities for AIX;*

Advising in relation to developing the supervision framework for market participants, including compliance reports with AIX Business Rules, Capital Adequacy requirements and the rules of the regulator;*

Advising on negotiating contract terms with 12 foreign brokers and custodians (UK, Hong-Kong, Russia, Cyprus, Czech Republic), including contracts governed by English law or subject to EU rules;*

Advising on drafting the group management system for compliance risk and AML/CFT: implementation of legal requirements and international standards;*

Advising in relation to developing the regulatory framework for a subsidiary of AIX, AIX Registrar Ltd. whose primary function is formation, storage and maintenance of registers system of securities holders;*

Advising in relation to developing internal compliance procedures with GDPR and AIFC Personal Data Regulations, the violation of which would amount more than US$10 thousand;*

Advising in relation to developing internal policies and procedures: AML/CFT, Sanctions Policy & Procedure, Personal Trading Procedure, Anti-Bribery and Corruption Policy, Conflict of Interest Policy, Member onboarding and Supervision Procedure, Security Lending and Borrowing Procedure, Information Policy, etc;*

Proposing amendments to AIX Business Rules and AIX Group Code of Conduct that were successfully incorporated;*
Advising in relation to structuring the sale of ETNs through the mobile application of AIX, which included analysing the proposed model, identifying legal risks and proposed changes in compliance with AIFC rules and Kazakhstan legislation;*

Advising from regulatory and compliance side for development of AIX Connect and Tabys mobile applications, including the analysis of licensing requirements, advertising restrictions, paperless onboarding procedure, assessment of automated KYC and AML checks;*

Advising in assessment of implications of new regulations of the Eurasian Union in intellectual property for a Korean multinational electronics company;*

Advising in relation to analysis of foreign trade agreements of a large Japanese multinational pharmaceutical and biopharmaceutical company in terms of compliance with new price ceiling regulations in Kazakhstan;*

Representation of European bank of Reconstruction and Development in introducing performance-based maintenance contracting approach for water and heat supply system for a large local provider;*

Representation World Bank in relation to its project for the Ministry of Labour of Kazakhstan in modernization of professional certification procedures.*
