Markéta Štáfková focuses on the areas of banking and finance, real estate and mergers and acquisitions.

Markéta Štáfková has been involved in numerous substantial financing transactions of Czech and international banks, in particular, in secured real estate financing. She has been advising leading domestic and international financial institutions in complex real estate transactions for the financing of real estate developers and other entrepreneurs in the area of real estate, including, among others, the financing of shopping centers, administrative complexes, hotels, etc.

During her legal practice, she has advised, inter alia, major German and Czech banks in several significant projects concerning the financing of construction of new shopping and office centers in Prague. She has also advised a major German bank in respect of refinancing facilities provided to one of the most important real estate developers in the Czech Republic concerning several renowned hotels in Prague.

In the area of real estate, Markéta Štáfková has advised many international and domestic investors in acquisitions of real estate in the Czech Republic. She advises clients on the preparation and negotiation of the relevant legal documentation and due diligence reports. Also, she provides ongoing legal advice for various post-acquisition matters, including corporate law issues, negotiations related to lease agreements, etc.

Markéta Štáfková has advised Czech and international buyers and vendors in various types of acquisitions, e.g., the representation of a US-based company in its acquisition of a major Czech manufacturer of lubrication systems and heavy pumping products, a US-based company in its acquisition of a leading Czech producer of lawn care solutions, or a Belgium-based company in the acquisition of a Czech manufacturer of industrial gears. She arranged, in particular, for the drafting and negotiation of the documentation pertaining to the acquisition, the due diligence investigations for the buyers, as well as post-closing corporate and other matters.

Representing consortium of 11 banks in connection with EUR 1 billion financing provided to EP Energy, a member of Energeticky a prumyslovy holding, in the largest financing in the Czech history syndicated for a Czech borrower on the Prague market.

Representation of major banking creditors of ORCO Property Group in connection with the ongoing saveguarde proceeding in France involving ORCO Property Group, and the restructuring of financing arrangements with its portfolio property companies.

Representation of UniCredit Bank Czech Republic, a.s. in the CZK 2,580,500,000 acquisition financing provided in connection with the acquisition of Elektrárny Opatovice and the subsequent CZK 7 billion refinancing of Elektrárny Opatovice's and white-wash proceedings.

Representation of a consortium of eleven banks, led by UniCredit, in the €240 million financing to a subsidiary of Energeticky a prumyslovy holding for the acquisition of a 49 per cent stake in Stredoslovenská energetika, a.s., a major Slovak energy supplier.

Representation of Crédit Agricole Corporate and Investment Bank (CACIB) in connection with the provision of facilities to BB C - Building BETA, s.r.o., Is Nyir Ingatlanhasznosito Es Vagyonkezelo Korlatolt Felelossegu Tarsasag, Is Zala Ingatlankezelesi Korlatolt Felelossegu Tarsasag and Campona Shopping Center Kft., Czech and Hungarian companies from CBRE group, for the purpose of refinancing of their existing indebtedness.

Represented Crédit Agricole Corporate and Investment Bank (CACIB) in a complex portfolio debt restructuring concerning three investment assets of Orco Property Group located in the Czech Republic and Slovakia (a commercial building in Prague, Czech Republic, Hlubocky production plant near Olomouc, Czech Republic and Dunaj department stores in Bratislava, Slovakia). As a result of the restructuring, a subsidiary of CACIB took over shareholding in entities holding Hlubocky production plant and Dunaj department stores, together with related debt, while Orco Property Group retained the entity holding Bubenska 1 building in Prague.

Advised Ceskoslovenska obchodni banka, a. s. in connection with acquisition financing for ABRIS funds for the purpose of acquisition of AAA Auto Group NV and its subsidiaries.

Advised KBC Bank NV, Ceskoslovenska obchodni banka, a. s., Ceskoslovenska obchodna banka, a.s., Credit Agricole Corporate and Investment Bank S.A. and Komercni banka, a.s., as arrangers, in connection with the provision of EUR 307,500,000 in construction and investment loans, for the development projects of VGP CZ I., a.s. and VGP CZ II., a.s.; Czech subsidiaries of the largest listed company - VGP N.V. - focusing on the development of logistics centers across Central and Eastern Europe. They represented the largest financing transactions of logistics real estate developments in the CEE region in 2011.

Assisting Raiffeisenbank a.s. and Komercní banka, a.s. in connection with the provision of loans to Luxembourg Plaza, a.s., Besnet Centrum, a.s. and CPI BB Centrum, a.s., companies from CPI group, for the purpose of the refinancing of their existing indebtedness.

Representation of Raiffeisenbank a.s. in connection with the provision of construction and development loans to KCC Development, s.r.o., for the purpose of the financing of a shopping center project in Kladno, Czech Republic.
