Biography

Mateusz Zdrada is an associate in the White & Case Debt Finance practice. He specializes in commercial law, with a focus on debt securities, banking, and collateral law. His experience includes providing legal advisory services to issuers, sponsors, dealers, and agents in the establishment of bond issuance programs and bond issuances. He also represents banks, banking consortiums, and borrowers in Polish and cross-border LMA-based loans, with a focus on acquisition finance transactions and corporate financings.

Experience

His experience includes:

  • mBank S.A.: Representation of mBank S.A. in connection with the issue of bonds of Develia S.A. under the bond issuance program up to PLN 400 million.
  • Bank Ochrony Środowiska S.A.: representation of Bank Ochrony Środowiska S.A. in connection with the issuance of senior non-preferred green bonds with the value of PLN 200 million.
  • Bank Polska Kasa Opieki S.A.: representation of Bank Polska Kasa Opieki S.A., as issuer, on its PLN 750 million (approximately €175.5 million) subordinated capital bonds issuance.
  • Eko-Okna S.A.: representation of Eko-Okna S.A., one of Europe's largest manufacturers of energy-efficient windows and doors, on a significant financing provided by a consortium of seven banks. The funds raised will be used to finance the construction of four new production facilities and refinance existing debt, enabling Eko-Okna to expand production and strengthen its competitive position in European markets. The consortium of banks and other financial institutions that provided financing to Eko-Okna included PKO Bank Polski S.A., Bank Gospodarstwa Krajowego, Bank Pekao S.A., ING Bank Śląski S.A., which also acted as Credit Agent and Collateral Agent, BNP Paribas Bank Polska S.A., the EBRD and Santander Bank Polska S.A.
  • Powszechna Kasa Oszczędności Bank Polski S.A.: representation of Bank Pekao S.A., BNP Paribas S.A. and Bank Gospodarstwa Krajowego in connection with the PLN 413 million facilities granted to Wielton S.A. to refinance the acquisition of 75% of the shares in Lawrence David Limited as well as to finance investment expenditures and the company's working capital.
