Biography

Overview

Michał Szczepański advises both emerging growth companies and investors (both institutional and strategic) in connection with venture capital and private equity transactions, domestic and global mergers and acquisitions, divestitures, restructurings, and joint ventures in a broad range of industries.

Prior to joining White & Case, Michał studied business and commercial law at the Indiana University Maurer School of Law, from which he obtained a Master of Laws (LL.M.) degree. From March 2018, Michał worked in the M&A/PE department of the Warsaw office of another renowned global law firm. He has been involved in advising clients, including leading private equity funds, on dozens of M&A and private equity transactions, as well as corporate governance matters, and has participated in a variety of legal due diligence investigations.

Michał is qualified to practice law in New York and Poland.

Among the transactions Michał has worked on are the following:

MidEuropa: representation of MidEuropa on the €200 million sale of MidEuropa's portfolio company Symfonia to Accel-KKR.

Eurowag: representation of Eurowag, a leading pan-European integrated payments and mobility platform focused on the commercial road transportation industry on its €306 million acquisition of Inelo from Innova Capital and other certain vendors. The acquisition is a Class 1 transaction under the Listing Rules.

Predica: representation of Predica, a Polish company and leading European provider of Microsoft Azure cloud migration, application modernization and managed services, on its acquisition by SoftwareONE Holding AG, a leading global provider of end-to-end software and cloud technology solutions.

CTP Group: representation of CTP Group on the acquisition of a real estate portfolio from 7R, a Polish industrial developer, with potential to develop 1.2 million sqm of GLA in logistics and industrial real estate.

Booksy: representation of Booksy, the world-leading appointment booking platform and marketplace for service providers, on the acquisition of Genbook, the leading online appointment scheduling and business management solution for small business entrepreneurs in the grooming and wellness industry.

Ramp: representation of Ramp, a startup created by Polish founders which develops comprehensive payment infrastructure for applications using cryptocurrencies and other digital assets, in raising of over US$10 million in the seed funding round which was carried out by the US venture capital fund NfX and Galaxy Digital. Investors included among others Mozilla, a major browser and free software community.

Molecule.one: representation of Molecule.one, the Polish computational chemistry organization, in connection with raising US$4.6 million to expand its quest to realize a theoretical drug molecule.  The transaction involved setting up a corporate governance structure that allowed the investors to invest both in the US topco and the Polish subsidiary.

The founders of Archicom S.A. and Archicom S.A.: representation of the founders of Archicom S.A. and Archicom S.A. in connection with the sale of a controlling stake in Archicom S.A., one of the oldest developers and a leader on the Wrocław real estate market, to Echo Investment S.A.*

Innova Capital and OPTeam: representation of Innova Capital and OPTeam in connection with the sale of Centrum Rozliczeń Elektronicznych Polskie ePłatności S.A. to Rementi Investments S.A., a subsidiary of Nets A/S, a market leader in the payments industry.*

Echo Partners B.V.: representation of Echo Partners B.V. in connection with the sale of a controlling stake in Echo Investment S.A. to an SPV owned by the Hungarian developer WING Zrt.*

Ares Management Corporation and Griffin Real Estate: representation of Ares Management Corporation and Griffin Real Estate in connection with the acquisition of a controlling stake in Murapol S.A., one of Poland’s largest residential property developers.*

Active Ownership Capital fund: representation of the Active Ownership Capital fund in connection with its investment in Polski Bank Komórek Macierzystych S.A.*

Shareholders of LiveChat Software S.A.: representation of certain shareholders of LiveChat Software S.A. in connection with the sale of shares in LiveChat Software S.A. in an accelerated bookbuilding process.*
