Biography

Omar Anwar is a Local Partner in our Global Mergers & Acquisitions and Corporate practice and has been recognised as an Emerging Leader by The M&A Advisor (2025).

Omar has over a decade’s experience advising corporate clients, publicly listed companies, private equity firms, sovereign wealth funds (and their portfolio companies), state owned entities and consortiums on a broad range of high-profile and complex transactions, including mergers and acquisitions, carve-outs and disposals, joint ventures, reorganisations, Takeover Code transactions as well as general corporate advisory and governance matters. 

Omar's advice is sought by clients across a variety of industry sectors and clients rely on Omar for his commercial and solution driven approach. Omar has also undertaken a secondment to the M&A team at Smiths Group plc, a FTSE 100 industrial technology conglomerate.

His depth of experience in cross-border work, impressive negotiation skills and track record of successful deal execution has made Omar a go-to individual for clients looking to execute on their value-creation strategies.

Omar is dual qualified, admitted to practice in England & Wales and Scotland.

Experience

Representative experience includes advising:

  • Abu Dhabi Future Energy Company, PJSC (also known as Masdar), on the possible US$2.8 billion consortium (comprising of Masdar, CPPIB, ADIA and Sumant Sinha (the founder)) takeover of ReNew Energy Global plc, an Indian renewables energy company, a NASDAQ-listed UK company.
  • Saudi Aramco on the acquisition of 375,974,998 shares representing 22.5% of the share capital of Rabigh Refining and Petrochemical Company from Sumitomo Chemical Co., Ltd.
  • The founders of Brands for Less ("BFL") on the sale of 35% of its shares to The TJX Companies, Inc. ("TJX").
  • Diafa Investment Holdings RSC Ltd (Diafa), a joint venture between International Holding Company (IHC) and Turmeric Capital, on its acquisition of 49.99% of the issued share capital of Azumi Limited (Azumi), which operates the Zuma restaurant brand.
  • FTSE 100 Smiths Group plc on a number of matters including on:
    • the sale of its Smiths Medical division to TA Associates for US$2.3 billion and then to ICU Medical Inc., for US$2.7 billion, which represented Class 1 transaction for Smiths Group plc.
    • the sale of the Smiths Interconnect Microwave Telecoms business to Infinite Electronics Inc. for US$112.5m.*
    • its divestment of the Wallace product line to CooperSurgical, Inc. for £140 million.*
  • Camusat Asia (an affiliate of Camusat International), Oman Information and Communication Technology Group SAOC (a subsidiary of Oman Investment Authority (OIA)) and Al Surooh Investment (a subsidiary of one of Oman’s pension funds), on the sale of 70% of the shares of Oman Tower Company to Brookfield, a global alternative asset manager with over US$925 billion in assets under management.
  • Gorillas, the on-demand grocery delivery company, on its sale to Getir for US$1.2 billion.
  • Basalt Infrastructure Partners on the acquisition of 100% of the issued share capital of Circle Infra Partners B.V. from ARLANXEO Netherlands B.V., AnQore B.V., Envalior B.V., Fibrant B.V. and OCI Nitrogen B.V., for EUR c.200 million.
  • Zynga Inc. (now part of US listed gaming company Take-Two Interactive) on its US$250 million acquisition of the entire issued share capital of Gram Games Teknoloji, the Türkiye-based mobile game developer.
  • Triton Investment Management Limited on its £1.3 billion recommended takeover offer for Clinigen Group plc.
  • Helios Investment Partners on the recommended all-cash consortium take-private offer for all shares and equity securities in Tecnotree Corporation, a global provider of IT solutions for communications service providers listed on Nasdaq Helsinki.
  • Pagero Group AB, listed on the Swedish NASDAQ, on its competitive offer for Tungsten Corporation plc.
  • Deutsche Bank as financial advisor to Stan Kroenke, who acquired Alisher Usmanov's 30 percent stake in Arsenal Football Club for £550 million, triggering a formal offer for the remaining shares in Arsenal Football Club.
  • UBS as financial advisor to Ion Investment Group on its £1.5 billion takeover of Fidessa Group plc.
  • SPIE Group (listed on NYSE Euronext Paris) on:
    • its acquisition of Correll Electrical Engineering, a group specialising in electrical engineering and cabling, from the founder and Topps Holding.
    • the sale of its UK business to Imtech (part of the Dalkia and EDF group).
    • the sale of 100 percent of the shares in Triosgroup Limited (being a subsidiary of SPIE UK Limited) to RCapital Partners.
  • Cukurova Finance International Limited, on the disposal of its circa 30 percent shareholding in Turkcell, a telecommunications and technology services provider founded and head-quartered in Türkiye and listed on the New York Stock Exchange and Borsa Istanbul, to the Turkey Sovereign Wealth Fund for US$1.6 billion.
  • Blackstone Credit (formerly GSO Capital) on the 100% disposal of Karix Mobile Private Limited in a cash and stock deal to Tanla Solutions Limited for approximately INR 340 crore.
  • BlackRock on their investment into Icelandic Glacial Water and related shareholder arrangements and issuance of warrants.
  • Flipkart on the sale of its Middle East business and operations (known as "Cleartrip") to its existing management team. Flipkart is an operator of an e-commerce shopping portal and majority owned by Walmart.
  • Prism Group AG, a Dubai based fintech group (acting in consortium with Royal Strategic Partners) on its acquisition of the LSE listed Finablr Group, a global financial services platform.
  • Prism Group AG on its acquisition of the BFC (the Bahrain Finance Corporation), a regional payments and remittance business.
  • FTSE 100 Rentokil Initial plc on its multi-million pound cross border acquisition of the Cannon Hygiene business from the OCS Group.*
  • FTSE 100 AstraZeneca plc on the sale of its small molecule antibiotics business to Pfizer for US$1.2 billion.*
  • FTSE 100 GKN plc on the multi-million pound sale of its Applied Composites business to Saab.*
  • Aura Energy Limited, an Australian uranium company listed on the Australian Securities Exchange, on its dual listing to the AIM Market of the London Stock Exchange.*
  • Kore Potash plc on its re-domicile to the United Kingdom (by way of a scheme of arrangement) and subsequent listing on the AIM Market of the London Stock Exchange.*
