Biography

Tabitha Al-Mahdawie is a partner in our Global Mergers & Acquisitions Practice and Employment, Compensation & Benefits Practice.

Tabitha specializes in employment law and has extensive experience in cross-border and English law matters. She provides a full range of transactional support for clients involved in corporate transactions, including structural analysis and due diligence, compensation and incentivization, regulatory and consultation obligations, and successor issues.

Tabitha advises a range of clients across sectors, including major corporates, hedge funds and private equity firms. She works across all aspects of employment law, from complex corporate transactions, strategic HR projects such as employee reorganizations and large-scale redundancies to contentious matters such as restrictive covenant disputes and employment tribunal claims.

Tabitha also focuses on employee data privacy, including data breaches, data subject rights, and employee monitoring.

  • Representation of La Caisse (formerly CDPQ) on its minority investment alongside Oakley to acquire Global Loan Agency Services (GLAS), a provider of loan agency and bond trustee services.
  • Representation of Banco de Sabadell S.A., a Spanish listed multinational financial services company, on the sale of TSB Banking Group plc to Banco Santander for £2.65 billion.*
  • Representation of Stonehage Fleming, one of the world's leading independently owned multi-family offices, on its combination with US-based wealth advisor, Corient.*
  • Representation of Investec on an all-share combination of Investec Wealth & Investment Limited and Rathbones Group plc to create the UK's leading discretionary wealth manager with approximately £100 billion in funds under management and administration.*
  • Representation of Ferrari Group PLC, one of the global leaders in the worldwide shipment of luxury goods, on the English employment law aspects of its IPO and admission to listing and trading of its ordinary shares on Euronext Amsterdam. The market capitalisation of the Ferrari Group at admission was €785 million.*
  • Representation of Pandox on its c.€1.4 billion recommended cash offer for Dalata Hotel Group plc.*
  • Representation of Valterra Platinum (formerly Anglo American Platinum) on its c.£7.5 billion London listing and demerger from Anglo American plc.*
  • Representation of Seven Investment Management (7IM), a vertically integrated wealth management business, on its sale to Ontario Teachers' Pension Plan Board (OTPP), a global investor with approximately C$250 billion in net assets, and advising 7IM on a number of subsequent acquisitions.*
  • Representation of Visa Inc. on its $21.2 billion acquisition of Visa Europe Limited to create a single global Visa business.*
