Biography

Thor is an associate in White & Case's tax practice, based in Houston, Texas. Thor advises clients on the U.S. federal income tax aspects of domestic and international transactions, including M&A, private equity, capital markets, debt finance, and restructuring transactions.

Thor has experience working with clients and other advisors in a broad range of industries, including natural resources, petrochemicals, and banking and finance, with particular expertise in energy industry transactions (e.g., oil and gas exploration and production, midstream, and oilfield services).

Experience

  • Representation of NRG Energy, Inc. on its entry into a definitive agreement to acquire six power generation facilities from Texas-based Rockland Capital, LLC for US$560 million.
  • Representation of Kimbell Royalty Partners, LP on its acquisition of mineral and royalty interests held by a private seller in a cash and unit transaction valued at approximately US$231 million and on a public offering of approximately US$149 million in common units, the proceeds of which facilitated such acquisition.
  • Representation of CNOOC Holdings USA Inc., a U.S. subsidiary of CNOOC International Limited, on its sale of its subsidiaries owning its U.S. Gulf of Mexico business to INEOS Energy.
  • Representation of a major, multinational, integrated oil and gas company on its multi-billion-dollar exit from Alaska.*
  • Representation of JetBlue Airways Corporation and JetBlue Loyalty, LP on their issuance of US$2 billion aggregate principal amount of 9.875% senior secured notes due 2031 and the simultaneous closing of a US$765 million senior secured term loan.
  • Representation of Citigroup Global Markets Inc., Banco Bradesco BBI S.A., Itau BBA USA Securities, Inc., Santander US Capital Markets LLC, UBS Securities LLC, BBVA Securities Inc., BNP Paribas Securities Corp., Banco BTG Pactual S.A. – Cayman Branch and Scotia Capital (USA) Inc., as joint bookrunners, on the issuance of US$750 million 6.500% notes due 2035 by Centrais Elétricas Brasileiras S.A. – Eletrobras.
  • Representation of Talen Energy Supply, LLC on a consent solicitation with respect to the adoption of certain proposed amendments to the indenture governing its US$1.2 billion aggregate principal amount of 8.625% senior secured notes due 2030.
  • Representation of Deutsche Bank AG, Singapore Branch and 17 other banks as initial purchasers in the Rule 144A/ Regulation S offering of US$1 billion of 6.750% senior notes, due 2034, by Wynn Macau, Limited, a Hong Kong-listed leading developer, owner and operator of integrated destination casino gaming and entertainment resort facilities in Macau.
  • Representation of BRBI BR Partners S.A. (BR Partners) on the establishment of its level II American Depository Receipt (ADR) program and the direct listing of its American Depositary Shares (ADS) on the Nasdaq stock exchange.
  • Representation of BNP PARIBAS, HSBC Bank plc, J.P. Morgan Securities plc, SMBC Bank International plc and Société Générale, as joint lead managers and placement agents, on the 144A/Reg S offering by Banque Ouest Africaine de Développement (BOAD) of US$500 million hybrid sustainable 8.2% notes due 2055, with a five-year non-call period.

Thor also served as the primary in-house tax advisor for a U.S. major, multinational, integrated oil and gas company’s U.S. conventional upstream business line (including its Gulf of Mexico operations), as well as certain of its African oil and gas holdings.*
