Biography

Tiyana Ramchunder is an Associate in the Firm's Debt Finance Group in Johannesburg. She advises lenders, borrowers and sponsors on complex domestic and cross-border financings, with experience across leveraged, acquisition, structured finance and debt capital market linked transactions. Her practice spans sectors such as industrial, technology, renewable energy and financial services.

Tiyana has experience in Corporate M&A and Private Equity, prior to joining the Firm.

Experience

Acquisition Finance

  • Representing The Standard Bank of South Africa Limited as financial advisor and JSE transaction sponsor on the financing arrangements for the delisting of Metrofile Holdings Limited, involving complex multi-jurisdictional facilities and security arrangements spanning USA, South Africa, Kenya and Dubai.

Structured Finance

  • Representing a South African financial institution on the financing of a hybrid capital investment fund, involving English law governed secured facilities and security packages across the UK, British Virgin Islands, Jersey, Luxembourg, and South Africa.
  • Representing Anthem Group on the implementation of a bespoke R8.5 billion multi-purpose financing facility provided by a syndicate of South African lenders, supporting the development and operation of utility-scale renewable energy projects.
  • Representing The Standard Bank of South Africa on a ZAR505.75 million bridge facility to Harith Infraco Limited, secured by a comprehensive security package and guaranteed by a security SPV.

Corporate Finance

  • Representing The Standard Bank of South Africa Limited (acting through its Corporate and Investment Banking division), FirstRand Bank Limited (acting through its Rand Merchant Bank division), Momentum Metropolitan Life Limited, Momentum Asset Management Proprietary Limited, Nedbank Limited (acting through its Corporate and Investment Banking division) and Old Mutual Life Assurance Company (South Africa) Limited (acting through Old Mutual Specialised Finance Proprietary Limited) in connection with amendments to the financing arrangements of wholly owned subsidiaries of a JSE-listed entity, including the incorporation of ZARIONA rate switch and Green Loan provisions.
  • Representing a financial institution on the refinancing of debt arrangements with a West African mining company and its regional holding and financing vehicle, involving a USD120 million revolving credit facility governed by English law and spanning the Republic of Guinea, the UK, Isle of Man, and South Africa.
  • Representing a syndicate of lenders on Oceana Group Limited’s ZAR646 million syndicated term loan facilities, including sustainability-linked mechanics.

  • Representing the joint bookrunners on the international issuance and subscription of US dollar-denominated, fixed rate reset callable subordinated Tier 2 notes by Absa Group Limited, listed on the London Stock Exchange’s International Securities Market.
  • Representing on the Nedbank Group Limited Domestic Medium Term Note (DMTN) Programme, including the issuance of subordinated Tier 2 and Additional Tier 1 notes listed on the JSE.

Debt Capital Markets

  • Representing the joint bookrunners on the international issuance and subscription of US dollar-denominated, fixed rate reset callable subordinated Tier 2 notes by Absa Group Limited, listed on the London Stock Exchange’s International Securities Market.
  • Representing on the Nedbank Group Limited Domestic Medium Term Note (DMTN) Programme, including the issuance of subordinated Tier 2 and Additional Tier 1 notes listed on the JSE.

Corporate M&A and Private Equity

  • Representing Lesaka Technologies Inc. (NASDAQ-listed) and its subsidiary on the acquisition of all shares in Adumo (RF) Proprietary Limited from Crossfin Apis Transactional Solutions and Adumo ESS, with the purchase price settled through a mix of Lesaka USA shares and cash.
  • Representing for RMB Corvest and Dlondlobala Capital in the acquisition of Nampak’s liquid carton manufacturing business and shares in Nampak Malawi and Nampak Zambia, with a base consideration of approximately ZAR450 million.
  • Representing Sabvest Capital, Shalamuka Capital, RMB Corvest, and management on the partial exit and introduction of Turpaz Limited (Tel Aviv-listed) as a new shareholder in Sunspray Food Ingredients, with Turpaz acquiring a 55% stake for around ZAR270 million.
