Overview

Tobias is a member of our global Corporate/M&A group and specializes in cross-border and domestic transactions.

He is regularly involved in M&A transactions and advises on corporate law with a particular focus on distressed situations. Tobias also has substantial professional experience in financial restructurings and insolvency-related transactions.

Prior to joining White & Case, Tobias worked for a number of other leading international law firms as research assistant and during his legal traineeship.

Experience

Faurecia SE
Advised Faurecia S.E. one of the world's largest automotive equipment suppliers, on the launch of a tender offer for HELLA GmbH & Co. KGaA and the acquisition of 60 percent of HELLA's shares held by the family shareholder pool resulting in an overall transaction volume of roughly €6.8 billion.

PBB
Advised Deutsche Pfandbriefbank AG (pbb) on its joint venture regarding CAPVERIANT GmbH, a lending platform for public sector financings with the French public financial institution Caisse des Dépôts (CDC).

BENTELER Group
Advised the Austrian BENTELER Group on the issuance of various financial instruments for the early and full repayment of BENTELER Group's existing restructuring liabilities.

HDT Automotive Solutions
Advised US-based HDT Automotive Solutions (HDT), the main shareholder in which is private equity investor Ardian, on the acquisition of German automotive components group Veritas which was under insolvency administration. The transaction included all four Veritas sites in Germany and all its subsidiaries in Europe, Asia and North America.

PGL / LOT
Advised the Polish Aviation Group (PGL), owner of LOT Polish Airlines S.A. (LOT), on the proposed acquisition of Germany's Condor Flugdienst GmbH (Condor). The proposed acquisition was preceded by a bidding process in which PGL prevailed over several financial investors.

Hamburg Commercial Bank
Advised Hamburg Commercial Bank on the restructuring of the capital structure of a major shipping group.

Steering Committee
Advised the banks' steering committee on the financial restructuring of a company in the renewable energy sector.

Banking Consortium
Advised the banks on the successful restructuring and related refinancing of Delticom AG.

FNZ
Acquisition of the business operations of Authenteq.

Adler
Advised Adler Group S.A on the sale of a majority stake in its Cosmopolitan Portfolio, located in North Rhine-Westphalia, to Orange Capital Partners and One Investment Management Ltd. The transaction includes the sale of 89.9 percent of the shares in subsidiaries owning the Cosmopolitan Portfolio. The portfolio, comprising 6,788 rental units located across key cities such as Duisburg, Düsseldorf, Essen, Oberhausen and Dortmund, was valued at €422.5 million for 100 percent of the gross asset value.

Advised Adler Group S.A. (Adler Group) on the sale of its 62.78 percent stake in Brack Capital Properties N.V. (BCP), held by Adler Real Estate GmbH, to LEG Immobilien SE (LEG) for €219.3 million.

Advised Adler Group S.A. and its subsidiaries on the agreement with a steering committee of bondholders supporting a comprehensive recapitalization of the Group.

Delivery Hero
Advised Delivery Hero SE (Delivery Hero) on the US$950 million cash sale of its foodpanda business in Taiwan to Uber Technologies, Inc. (Uber), and on a separate US$300 million cash capital increase, fully subscribed by Uber, through its wholly-owned subsidiary SMB Holding Corporation.

Teylor
Advised the Swiss-headquartered digital lending platform Teylor on the acquisition of the business operations of its competitor Creditshelf AG including Creditshelf Solutions GmbH.
