White & Case advises Goldman Sachs on €350 million repurchase of Repubblica di San Marino notes and new €350 million sovereign bond issuance

Global law firm White & Case LLP has advised Goldman Sachs as dealer manager on the repurchase of Repubblica di San Marino notes issued in 2023 by means of a tender offer with a maximum aggregate principal amount of approximately €350 million.

White & Case also advised Goldman Sachs, as lead manager, on Repubblica di San Marino's issuance of €350 million 3.625% notes due 2031. The notes have been offered exclusively to professional investors pursuant to Regulation S under the US Securities Act and are listed on the Luxembourg Stock Exchange’s Euro MTF market. The proceeds from the new issuance have been partially used for the repurchase of the notes subject to the tender offer.

The White & Case team that advised on the transaction included partners Michael Immordino (London & Milan) and Pietro Magnaghi (Milan) and lawyer Stefano Cultrera (Milan).
