White & Case advises H&M on inaugural €500 million green notes issuance

Global law firm White & Case LLP has advised global fashion retailer H & M Hennes & Mauritz AB (H&M) on the issuance by H&M Finance B.V. of €500 million green notes due 2031, guaranteed by H&M.

The notes were issued under H&M’s €2 billion Euro Medium Term Note programme, updated during October 2023 to include mechanics for the issuance of use of proceeds green notes alongside sustainability-linked notes. The proceeds will be allocated to eligible projects in five categories defined in H&M’s Sustainable Finance Framework.

BNP Paribas, ING, J.P. Morgan, SEB and UniCredit acted as joint lead managers and bookrunners on the green notes offering.

The White & Case team which advised on the transaction was led by partner Michael Bark-Jones (Stockholm) and included partner Mikko Hulkko (Helsinki) and associates Siavash Saberian and Jakob Matell (both Stockholm).
