White & Case advises Mutares on acquisition of Continental Automotive’s Italian operations

Global law firm White & Case LLP has advised Mutares SE & Co. KGaA on the signing of an agreement with Continental Automotive, planned to become the independent company Aumovio in September 2025, for the acquisition of its manufacturing plant and research & development center for hydraulic drum brakes located in Cairo Montenotte (Savona), Italy. The acquisition will further strengthen Mutares' Automotive & Mobility segment.

Continental's site in Cairo Montenotte is a production and R&D site for hydraulic drum brakes. It manufactures products such as the Parking Brake for Simplex Brakes (EPB-Si) and the Drum Brake (Si).

The transaction is expected to close in the fourth quarter of 2025, subject to customary closing conditions and approvals.

The White & Case team which advised on the transaction was led by partner Leonardo Graffi (Milan & London) and included associate Daniele Pojani and lawyer Francesca Muraca (both Milan) in relation to M&A aspects, and partner Philip Trillmich (London & Frankfurt) in relation to IP aspects.
