Biography
Emmanuel Gutton is a partner in our Global Private Capital and Investment Funds Practices.
Emmanuel has more than 15 years of experience advising on investment funds, regulated financial institutions, including banks, asset managers MiFID firms and other regulated entities, in particular on complex cross-border mergers and acquisitions, strategic divestitures and minority investments. His practice covers the acquisition and disposal of regulated businesses and stakes in the banking, asset management and fintech sectors, including matters requiring close coordination with financial regulators such as the Commission de Surveillance du Secteur Financier (CSSF). He also advises on the creation and structuring of funds across a broad range of asset classes including private equity and real estate. He also regularly advises investment fund managers on a regulatory, licensing, governance and restructuring matters.
Prior to joining White & Case, Emmanuel was Deputy CEO and General Counsel at the Association of the Luxembourg Fund Industry (ALFI) and previously worked for several local and international law firms in France and Luxembourg.
Emmanuel is a member of the investment fund managers committee of the Commission de Surveillance du Secteur Financier (CSSF) and the regulatory advisory board of ALFI.
Experience
Advising Nomura Securities International, Inc. on its US$1.8 billion acquisition of Macquarie's US and European public asset management business. The Luxembourg work included assisting Nomura with the required regulatory approvals for the acquisition of a Luxembourg MiFID investment firm, including approvals relating to the change of shareholding and changes to governance and operational organisation.
Advising Mizuho Financial Group Inc. on the sale of Mizuho Trust & Banking (Luxembourg) S.A., a Luxembourg credit institution, to State Street Bank International GmbH as part of Mizuho's disposal of its global custody and related businesses outside Japan. The team advised on the transaction terms and satisfaction of Luxembourg regulatory and operational closing conditions.
Advising Banca Monte dei Paschi di Siena S.p.A. in connection with its merger by incorporation of Mediobanca – Banca di Credito Finanziario S.p.A. The Luxembourg work included obtaining regulatory approvals for BMPS as a new qualifying shareholder of Luxembourg regulated entities, including a credit institution, management companies and (re)insurance companies.
Advising New Private Equity Management LP, a US technology-focused private equity firm, on the regulatory aspects of its acquisition of a strategic stake in ONE group solutions Platform, including regulatory approval for the indirect acquisition of qualifying shareholdings in ONE Fund Management and ONE Corporate (Luxembourg).
Advising Broadridge Financial Solutions, Inc. on its strategic minority investment in HQLAX as part of HQLAX's Series C-1 funding round. The matter concerned digital collateral mobility solutions across global securities finance and repo markets.
Representation of a UK-listed global professional services firm headquartered in Jersey vis-à-vis the Luxembourg regulator on its cash acquisition by Permira.
Advising Swiss Life Asset Management AG and Swiss Life High Voltage Fund SCSp on the corporate and regulatory aspects of the sale of an indirect interest in Amprion GmbH, a German electricity transmission system operator, to RWE Albatross Holding GmbH.
