Overview

Ibragim is an Associate of Corporate and M&A practice at White & Case Astana office. He specialises in corporate law, foreign investments, and project finance. He has very broad experience in advising clients dealing in the area of construction, infrastructure, petrochemicals, and pharmaceuticals.

Prior to joining White & Case, since 2013 Ibragim has worked as an Associate at one of the leading international law firms and the Big Four organisation.

Representation of a multinational group specialising in real estate management in connection with transaction structuring and support, equity financing, and divestment.

Representation of a private fund and its associated entities in connection with restructuring and corporate governance matters.

Representation of a financial institution on structuring and participating in the collective investment scheme involving an AIFC registered venture capital fund.*

Representation of a renewable energy company on its investment in the solar photovoltaic project in relation to due diligence, transaction structuring and support.*

Capital Markets

Representation of National Company KazMunayGas JSC, a leading national oil and gas company, and Samruk-Kazyna, Kazakhstan's national welfare fund as the selling shareholder on the IPO of c. 18.3 million ordinary shares of KMG owned by Samruk-Kazyna on the Kazakhstan Exchanges (AIX and the Kazakhstan Stock Exchange). This is the first IPO on the AIX to be based on the prospectus prepared exclusively in accordance with the AIX regulations (all prior equity offerings on AIX followed a "dual listing" model where the AIX accepted prospectuses prepared in accordance with the regulations of exchanges the AIX recognizes as equivalent).

Infrastructure and Construction

Representation of a consortium of international construction companies in connection with operation and maintenance of the Big Almaty Ring Motor Road, the largest infrastructure PPP project in Kazakhstan. 

Representation of an international company specialising in multimedia, statistics and security solutions, in relation to implementation of a PPP project for modernisation of a sports palace financed by the Development Bank of Kazakhstan.*

Representation of an international consortium on the bidding for an open tender in respect of a PPP project on infrastructure development using DBFOM model.*

Advising engineering company on potential risks associated with the PPP road construction project.*

Drafting EPC contracts, Feedstock and Offtake agreements within the project on construction of low-capacity petrochemical plant.*

Advising on licensing and use of EPC contracts in Kazakhstan within the project on construction of chemical plant.*

Drafting the framework agreement and EPC contract for the project on construction of residential complex, hotel, and business centre.*

Drafting changes and amendments to the FIDIC standard contract form, advising on licensing of design and construction work within the project on HPP modernisation.*

Legislative and Policy-Making

Drafting and developing legislative acts in the area of healthcare, the Healthcare Code and delegated legislation, including pricing and procurement rules, localisation of contract manufacturing, and pharmaceuticals registration rules.*

Drafting the intergovernmental agreement (in part related to the terms and conditions governing local requirements applicable to design and construction as well as licensing of design and construction work) within the project on construction of petrochemical complex.
