Biography

Jiten Tank is a tax partner advising on UK and international corporate tax matters, with particular expertise in investment funds, private equity and private credit transactions, as well as corporate M&A, financings, restructurings and real estate investments.

Jiten regularly advises asset managers, institutional investors and multinational groups on the structuring and execution of complex cross-border transactions and fund platforms. His practice spans fund formation, secondary and credit strategies, financing and securitisation structures (including RMBS, CMBS, CLOs), and large-scale disposals and reorganisations.

Jiten has represented clients such as Pantheon, CVC Credit, Oaktree Capital, ICG, PGIM, Blackstone, CK Hutchinson, Jacobs Engineering, Starwood, STG, Oakley Capital, amongst others.

He is known for delivering technically robust advice in a clear, practical and commercially focused manner.

In addition to transactional work, Jiten is actively involved in industry and policy discussions relating to the UK funds and securitisation regimes, including engagement with HM Treasury and HMRC working groups on legislative and regulatory developments.

Investment Funds:

  • Advised Pantheon on the structuring and formation of Pantheon Senior Debt II and III and Pantheon Credit Opportunities II and III as well as several segregated fund mandates; as the lead investor on various secondary transactions.*
  • Advised Intermediate Capital Group with various tax aspects concerning the formation of Senior Debt Partners IV and V as well as with the tax structuring for the formation of their first sale and leaseback fund.*
  • Advised global alternative asset manager Eurazeo Global Investor on its bespoke €480 million private debt continuation fund and (sustainable) maritime infrastructure investment financing funds.*
  • Acted for Cheyne on its formation of a mortgage loan fund and a social property investment fund.*
  • Pemberton Capital Advisors LLP on the structuring and establishment of a private debt fund focusing on senior secured loans to medium sized companies located in Europe.*
  • Advised Anthemis on various technology fund structures.*
  • Advised Mizuho Bank on the establishment of its fourth and fifth Vintages of its Credit Loan Fund.*
  • LaSalle Investment Management on the £800 million Real Estate Debt Strategies III and Real Estate Debt Strategies IV.*
  • Conversion of the closed-ended MedicX I Healthfund into a perpetual open-ended life fund targeting over £1 billion of commitments.*
  • Formation and tax structure of a US$1 billion Korean-focused real-estate fund.*

Corporate M&A:

  • Represented Filtration Group, an affiliate of Chicago-based Madison Industries, on the acquisition of the Porous Technologies business of UK-based industrial group Essentra plc for £220 million.*
  • Represented STG Partners (Alliance Bidco) on the take-private of Gresham Technologies plc, a provider of real-time solutions for data integrity and control, banking integration, payments and cash management.*
  • Represented Travelsoft (backed by Capza and Capital Croissance) on the acquisitions of ATCORE and TravelgateX, creating a global travel-tech platform.*
  • Represented Jacobs Engineering Group, Inc. on US$913 million acquisition of the process and construction business from Norway-listed Aker Solutions.*
  • Samsung Electronics Co., Ltd. on its US$310 Million Acquisition of the handset connectivity and location development operations from London-listed Cambridge Silicon Radio Limited and the related subscription by Samsung for a 4.9% equity stake in CSR plc.*

Corporate Real Estate:

  • Represented Starwood Capital in connection with Purchase of the Principal Hayley hotel portfolio (23 hotels); Purchase of the De Vere Venues Group of hotels and conference centers (30 hotels); Sale of £830 million hotel portfolio (14 hotels) that form part of The Principal Hayley hotel portfolio to Foncière des Régions.*
  • Advised Strategic Hotels & Resorts on the sale of the 237-room Marriott London Grosvenor Square Hotel for £125.15 million ($207.7 million).*
  • Represented Oaktree Capital Management on the £130 million joint venture to acquire the Kingfisher Shopping Centre with Capital and Regional.*
  • Acted for Apollo Management International LP on a transaction involving CPI Capital Partners Europe L.P.*

Private Equity:

  • Advised STG (STG Allegro fund) on its investment in TaxCalc, a leading U.K. tax and practice-management software provider; its acquisition of Alveo (formerly Asset Control) from Sovereign Capital and its acquisition of the commodities business of Brady Technologies Group (energy trading, risk & logistics software).*
  • Represented May River Capital on multiple U.K. bolt-on acquisitions across its portfolio.*
  • Oakley Capital with its acquisition transactions including Casa.it and atHome.lu, the North Sails Group, Tomasoni, MBrands and Southern Spars and the sale of the atHome group to Mayfair Equity Partners.*

Structured Finance:

  • Advised CVC Credit Partners on the structuring and establishment of various vintages of the risk retention structures.*
  • Rothschild & Co Credit Management on developing a UK securitisation structure with £400 million of risk retention capital for its global CLO business. Devised risk retention structure in compliance with tax and regulatory requirements.*
  • Alcentra Credit Managers on the structuring and establishment of its risk retention structured fund.*
  • Tax advisory support and transaction execution for various managers and arrangers on European CLO transactions.*
  • Tax support on various RMBS transactions including on the Trinity Square, Finsbury Square and several Residential Mortgage Securities securitisation programs.*

Other:

  • A large financial institution in establishing its stock lending desk and, in particular, on the tax implications under the Global Master Securities Lending Agreement 2010.*
  • Assisting with representations made before the European Court of Justice, which led to a successful decision on the VAT treatment of Bitcoin transactions.*
  • A large financial institution in developing certain wealth investment products.*
