Biography

Manley Leung is a Partner in our Asia Debt Finance practice, based in Hong Kong.

Manley advises leveraged, structured, real estate and special situation financings. He advises commercial banks, credit funds, alternative financing providers and corporate borrowers. He also has experience advising Chinese and Taiwanese banks on establishing a presence in the US and mergers and acquisitions and other strategic expansion plans in the US.

Manley's experience includes four years based in White & Case's New York office, and two years based in the Firm's Beijing office.

Manley has been a member of the China Committee of the Asia Pacific Loan Market Association since 2021.

Loan for LBO of a Dayao Jiabin Beverage
Multiple PRC banks as lead arrangers in the RMB term loan facility in support of KKR's acquisition of Dayao Jiabin Beverage Co., Ltd.

Loan for acquisition and take-private of Sun Art Retail Group
China Merchants Bank in a HK$5.45 billion term facility to Paragon Shine Limited, a portfolio company of DCP Capital, to finance the acquisition and take-private of Sun Art Retail Group Limited, by way of a mandatory general offer. Sun Art is a hypermarket chain business listed on the Main Board of HKEX with stock code 6808.

Loan for acquisition of Aerospace Technologies
CTBC Bank as the sole lender in a proposed loan financing for the acquisition of Aerospace Technologies Group Inc, a company incorporated in the United States (the Target) and a SPV (the Bidco) owned by Bain Capital (the Sponsor) as purchaser.

Bridging loan for the buyout of Wanda Group's mall management unit
Shanghai Pudong Development Bank as arranger in a bridging facility to facilitate the buyout of the Wanda Group's mall management unit by a consortium led by PAG, comprising CITIC Capital, ADIA and Ares Management.

Loans for recapitalization of the acquisition of a hotel in Vietnam
Cathay United Bank and Far Eastern International Bank as mandated lead arrangers on the US$65 million term loan facilities to Madrid Holdings (BVI) Limited as borrower. The proceeds were used to recapitalize the existing notes originally issued for the acquisitions of the investment in the Sofitel Legend Metropole Hanoi Hotel, Vietnam.

Capital call financing to a fund sponsored by Silk Road Fund
Bank of China as lender in the capital call financing to BNR HK Flagship Impact Fund L.P., a fund sponsored by Silk Road Fund and the Hong Kong Monetary Authority, for financing its investment activities.

Loans for acquisition by E.Sun Commercial Bank
E.Sun Commercial bank as lender in the HK$2 billion financing to the borrower for its acquisition of the holding company which indirectly owns Nexxus Building in whole. Subscription of convertible senior notes by iQiyi
The mandated lead arranger and original lender on a US$330 million secured facility to a subsidiary of PAG for its subscription of US$500 million convertible senior notes issued by IQiyi.

Subscription of convertible notes by China Youran Dairy
Haitong International Securities Group Limited as mandated lead arranger in respect of a US$250 million facility to PAGAC Yogurt Holding II Limited and PAGAC Yogurt Holding III Limited as borrowers (both owned by PAG) for the subscription of certain convertible notes issued by China Youran Dairy Group Limited, a company incorporated in the Cayman Islands and listed on the Main Board of the HKEX (stock code: 9858.HK).
