Overview

Monika Dużyńska focuses her practice on corporate law, securities law, merger and acquisition transactions as well as corporate governance issues. She has advised in many public issues of shares and in public and non-public issues of debt securities of Polish and foreign companies.

Prior to joining White & Case, Monika gained experience in the leading international law firms in Paris.

Aquiline Capital Partners Limited: representation of Aquiline Capital Partners Limited, a private investment firm based in New York and London specializing in investments in financial services and technology, in connection with the acquisition of the Virtus Lab Group, a software development company.

Polenergia S.A.: representation of Polenergia S.A., Poland's largest privately held, vertically integrated energy group, on its more than PLN 1 billion public offering of AA series shares.

Polenergia S.A.: representation of Polenergia S.A., the largest private energy group in Poland, on the signing of a final agreement for the acquisition of a 100% stake in Edison Energia S.A., one of the fastest growing photovoltaic systems installation companies in Poland.

Huuuge, Inc.: representation of Delaware-based corporation Huuuge, Inc., a global developer of free-to-play games and publisher of digital games on mobile and web platforms, on its IPO on the regulated market of the Warsaw Stock Exchange. The PLN 1.67 billion IPO was the largest IPO of a gaming sector company in the history of the Warsaw Stock Exchange, and the largest mobile gaming IPO in Europe.

Synthos S.A.: representation of Synthos S.A. on the issuance of €600 million seven-year bonds on the international markets. The bonds, which have a fixed interest rate of 2.5% and were issued under New York law, are listed on the Global Exchange Market Euronext in Dublin. We also advised Synthos on the renegotiation of revolving loan agreements of up to €500 million, the repayment of the existing term loan, the negotiations of an inter-creditor agreement and security documentation.

Global Compute Infrastructure LP: representation of Global Compute Infrastructure LP in connection with the acquisition of ATM S.A., one of the largest data center operators and communications infrastructure businesses in Poland and CEE, from a consortium of funds managed by MCI Capital and Mezzanine Management.

Vantage Development S.A.: representation of the selling shareholders of Vantage Development S.A., a company listed on the Warsaw Stock Exchange, in connection with the sale of all of the developer's shares to TAG Immobilien AG through the company TAG Beteiligungs und Immobilienverwaltungs GmbH.

Play Communications S.A.: representation of Play Communications S.A. and its subsidiary P4 Sp. z o.o. in connection with the €96 million acquisition of 3S S.A., a telecommunications group based in Katowice, and indirect acquisition of all the shares in all the subsidiaries of 3S, including 3S S.A., 3S Data Center S.A., 3S Fibertech sp. z o.o. and 3S BOX S.A.

Play Communications S.A.: representation of Play Communications S.A. (Play) and its shareholders Novator and Olympia in connection with the €1 billion (PLN 4.4 billion) IPO of Play on the Warsaw Stock Exchange, which values the company at €4 billion (PLN 16 billion).

PGE S.A.: representation of PGE Polska Grupa Energetyczna S.A., Poland's biggest power producer, in its PLN 4.51 billion (approximately US$1.2 billion) acquisition of the EDF Group's assets in Poland.
