Play Communications S.A.: representation of Play Communications S.A. (Play) and its shareholders Novator and Olympia in connection with the €1 billion (PLN 4.4 billion) IPO of Play on the WSE, which values the company at €4 billion (PLN 16 billion). It is the largest IPO in the telecommunications sector in Europe since June 2015, and one of the five largest ever Polish IPOs.
Cyfrowy Polsat: representation of Goldman Sachs International and Trigon Dom Maklerski S.A. on the PLN 634 million (approximately US$171 million) sale by Cyprus-registered Sensor Overseas Limited, which is controlled by Heronim Ruta, of 4.4 percent of the shares in Cyfrowy Polsat S.A. through an accelerated bookbuilding. The offer was directed to institutional investors in Poland and in other jurisdictions outside the US under Reg. S, and to QIBs in the US under Rule 144A.
CCC S.A.: representation of Citi, Goldman Sachs and UBS Limited in a total PLN 530 mln (c. €135m) private placement by way of a private offering of a newly issued 2,000,000 ordinary bearer series H shares through the accelerated bookbuilding of CCC S.A., the largest footwear retail company in Central Europe and the largest footwear manufacturer in Europe.
PGE S.A.: representation of PGE Polska Grupa Energetyczna S.A., Poland's biggest power producer, in its PLN 4.51 billion (approximately US$1.2 billion) acquisition of the EDF Group's assets in Poland.
Kruk S.A.: representation of Kruk S.A. in an accelerated bookbuilding transaction and simultaneous share capital increase by 1 million series G shares, together with the listing of the shares on the stock exchange. The transaction was carried out as a private offering under Regulation 144A without the necessity to prepare an issue prospectus. The company is allocating the funds from the issuance of the new shares in the amount of PLN 215 million for the further development of its activities in Western Europe.
Griffin Premium RE: representation of BZ WBK S.A. and Berenberg, as Global Coordinators and Joint Bookrunners, and DM BOŚ as Offering Co-manager, in connection with the PLN 508 million (approximately €118 million) IPO and admission to trading of shares in Griffin Premium RE on the WSE. The transaction was carried out via an IPO in Poland addressed to individual and institutional investors, and in the form of a private offering addressed to institutional investors in other jurisdictions outside the United States, in accordance with Regulation S of the US Securities Act of 1933, as amended. The prospectus was approved by the Netherlands Authority for the Financial Markets and passported into Poland by the Polish Financial Supervision Authority.
Ghelamco Invest Sp. z o.o.: representation of Ghelamco Invest Sp. z o.o., Poland's leading real estate developer, in connection with the establishment of a PLN 350 million Polish bond program aimed at a pool of individual investors.
Jastrzębska Spółka Węglowa S.A.: representation of Jastrzębska Spółka Węglowa S.A. („JSW") in connection with the sale of almost 93% shares which JSW holds in Wałbrzyskie Zakłady Koksowniczne Victoria S.A. to Agencja Rozwoju Przemysłu S.A. and Towarzystwo Finansowe "Silesia" Sp. z o.o. of the total value of PLN 350 million (€81.45 million).
UNIWHEELS AG: represented Dom Maklerski mBanku S.A. acting as the global coordinator, joint bookrunner and joint offering agent, mBank S.A. acting as the underwriter and Bank Zachodni WBK S.A. acting as the joint bookrunner, joint offering agent and underwriter, on the PLN 504 million (US$140 million) initial public offering and listing of shares of Uniwheels AG on the Warsaw Stock Exchange. It was the largest IPO in Poland in 2015.
Synthos S.A.: represented Synthos S.A., one of the leading manufacturers of chemical raw materials in Central and Eastern Europe, in connection with the Reg S/Rule 144A issuance and sale of €350 million Senior Notes due 2021.
