
White & Case advises PŚO on expanding fiber network through Elsat acquisition from Vectra

Global law firm White & Case LLP has advised Polish wholesale fiber optic network operator Polski Światłowód Otwarty sp. z o.o. (PŚO) on the signing of a preliminary agreement to acquire 100 percent of the shares in Elsat sp. z o.o. from Vectra S.A., a major Polish provider of fixed-line internet and television services whose network reaches approximately 4.2 million households.
Vectra will transfer a significant portion of its wholesale business and broadband infrastructure assets to Elsat, including a network covering around 2.3 million households currently owned by Vectra Group company Multimedia Polska.
The transaction is subject to customary conditions precedent, including obtaining approval from the Polish Office of Competition and Consumer Protection (UOKiK).
PŚO was established in 2023 as a joint venture between Plug Finco Sàrl, a company wholly owned by InfraVia V Invest Sàrl, an entity managed by infrastructure and technology investments specialist InfraVia Capital Partners, and iliad Group company P4 sp. z o.o.. White & Case advised on the creation of the joint venture.
