Overview

Olivier Poinsignon is an associate in the Global Private Equity and Investment Funds Practices in Luxembourg. 

His practice focuses on collective asset management and alternative investment funds.

His practice encompasses a broad range of alternative investment funds including private equity, real estate, debt and infrastructure funds. He has provided assistance with general corporate, transactional and regulatory matters including restructuring of investment funds, M&A transaction on fund sponsors and regulated entities. He also advises on derivative documentation (implementation of EMIR, ISDA documentation and derivative instruments implementing investment strategies).

Olivier advises a number of investment fund promoters including private equity firms in relation to the set-up, structuring and administration of Luxembourg investment funds.

Prior to joining White & Case, Olivier practiced for five years in the investment funds department of a major Luxembourg law firm.

Advising Die Mobiliar in relation to the investments performed by Mobi Alternative Investment Fund SICAV FIS.

Advising Nomura on its entry into an share purchase agreement with Macquarie to acquire its US and European public asset management business for US$1.8 billion (subject to purchase price adjustments) in an all-cash transaction.

Advising Scor with:

  • regulatory and funds aspects of Scor funds;
  • the amendments to be made to the documentation of the Luxembourg fund managed by Scor IP (Scorlux SICAV-SIF) and related fillings with the Luxembourg regulator (CSSF), and any other formalities to be conducted regularly with respect to that fund;
  • the creation of antitrust guidelines in the event of a dawn raid and the setting-up of a Luxembourg fund under the form of a SICAV RAIF;

Advising ING on its the implementation of the transfer of professional assets and its involving Lending SICAV-RAIF SCSp.

Advising BC Partners in relation to:

  • the US$1.2 billion SOF II, being the first BC Partners credit fund based in Luxembourg;
  • SOF III, being the second BC Partners credit fund based in Luxembourg (fundraising ongoing);
  • setting up their second real estate fund, Partners European Real Estate II.

Advising the asset management branch of a leading global reinsurer in relation to the setting up, maintenance, merger and liquidation of their Luxembourg investment funds as well as on regulatory matters.

Advising a leading discretionary fund manager in the establishment of a Luxembourg parallel fund pursuing an energy transition investment strategy.

Advising Cobepa SA, a private equity investor based in Belgium with over EUR 4.4 billion net asset value, on its acquisition of Ned Stevens, one of the leading gutter cleaning and home maintenance service providers in the United States, from AVALT.

Advising BC Partners in relation to €7 billion flagship private equity Fund X (BCEC X) being the first BC Partners investment fund based in Luxembourg.

Advising BC Partners in relation to flagship private equity €6.9 Fund XI (BC Partners XI).*
