Paweł Góra is a lawyer and economist who focuses his practice on providing comprehensive tax advice to Poland-based and global companies in the energy, telecommunications, chemistry, real estate and finance sectors.
He advises on international tax structuring projects, tax due-diligence, tax modelling related to merger and acquisition transactions, and tax litigation before tax authorities and administrative courts. His work encompasses, among others, preparation of legal opinions, tax litigation documentation, applications for tax rulings and tax due-diligence reports.
In addition, Paweł participates in the preparation of due diligence reviews and relevant transaction documentation for M&A and capital market transactions.
Prior to joining White & Case, Paweł gained experience serving internships in international companies and organizations, including a leading German logistics company in Mainz.
United Internet AG: Advised United Internet AG and its subsidiary, 1&1 Internet SE, in connection with the acquisition for around €150 million of home.pl S.A. from its current owners, led by private equity fund V4C Eastern Europe.
Jastrzębska Spółka Węglowa S.A.: Advised Poland-based listed company engaged in producing and selling coking coal to domestic coking plants, on the PLN 1.49 billion acquisition of an organized part of the business of Kompania Węglowa S.A., the Poland-based state owned company engaged in drilling, mining, and selling coal and carbon products.
New World Resources Plc.: Advised New World Resources Plc (NWR), one of the largest hard coal producers in central Europe and a major employer in the Czech Republic, in relation to its comprehensive, cross-border balance sheet restructuring, allowing NWR to focus on its operational turnaround and survive the prolonged downturn in the global coking and thermal coal markets. This transaction involved a UK Scheme of Arrangement and a Rights Issue and Placing on the London, Warsaw and Prague Stock Exchanges, drawing on a complex mix of capability across mining, restructuring, debt and equity capital markets, corporate and tax.
Węglokoks S.A.: Advised one of the leading European suppliers of solid fuels and its subsidiary Węglokoks Kraj on the purchase of two coal mines from Kompania Węglowa S.A. addressing corporate, contractual and regulatory issues.
FTF Columbus: Advised FTF Columbus, an investment vehicle of Mr. Michał Sołowow, one of the richest businessmen in Poland, in the sale of 41.55 percent of shares of Echo Investment S.A., the Warsaw-listed investment and developing company, to Griffin Real Estate, the Poland-based company engaged in the acquisition and development of real estate properties. It was one of the largest public M&A transactions in 2015.
Synthos S.A.: Advised Synthos S.A. in its EUR 50,000,000 tap offering of its Senior Notes due 2021.
