Overview

A partner in the Firm's M&A and Energy group, Thomas' practice has a particular focus on energy-related transactions and the regulatory aspects of the value chain, including contract law, grid regulation and renewables.

In addition to advising clients out of court, he has also represented them in numerous legal disputes in front of authorities and courts.

Prior to joining White & Case, Thomas worked as a partner for another leading international law firm in Düsseldorf for several years. He also gained valuable experience working on secondment at a major German power supply company.

Advising the German/Swedish interconnector Baltic Cable AB on its structuring in accordance with the German and European legal framework for regulated network operators, including cross jurisdictional advice on capacity allocation methodologies. 

EWE AG
Advised EWE AG, one of Germany’s largest municipal enterprises, and the Ems-Weser-Elbe Versorgungs- und Entsorgungsverband, an alliance formed of 21 cities and districts in the Ems/Weser/Elbe region, on the sale of 26% of the shares in EWE AG to the infrastructure investor ARDIAN.

Consortium of banks concerning the financing of the "Monaco-Pipeline"
Advising a consortium of banks concerning the financing of the "Monaco-Pipeline" owned by the transmission system operator bayernets.

Gasunie Deutschland Transport Services GmbH on the acquisition of Jordgas Transport GmbH
Advising Gasunie Deutschland Transport Services GmbH on the joint acquisition with Open Grid Europe GmbH of the gas pipeline operator Jordgas Transport GmbH from Statoil Deutschland.

STEAG GmbH and Bejing Capital Group Consortium Bid for EEW Energy, 2016
We represented a consortium consisting of STEAG GmbH and Bejing Capital Group in connection with the bidding process to acquire EEW Energy from Waste GmbH (EEW), the market-leading energy-from-waste company in Germany, from private equity investor EQT. We advised the consortium regarding the bidding procedure, due diligence, SPA negotiations, financing and merger control procedure. In the end, EQT has reached an agreement in principle to sell EEW to the competing bidder, Beijing Enterprises Holding, for approximately €1.4 billion.

Acquisition of offshore wind farm and FiT*
Thomas advised EnBW (Energie Baden-Württemberg AG) on its acquisition of the Albatros offshore wind farm and FiT.

Acquisition of a majority stake in E.ON Mitte*
Thomas advised a consortium of municipal shareholders on the purchase and financing of a 73.3 percent stake in E.ON Mitte AG from E.ON for approximately €610 million.*

Intended acquisition of E.ON Energy*
Thomas advised a financial investor on the intended acquisition of E.ON Energy from Waste.

Acquistion of a stake in gas pipelines*
Thomas advised Fluxys on the acquisition of Eni's shares in the gas pipelines TENP (Germany) and Transitgas (Switzerland).

Acquisition of majority stake in Amprion*
Thomas advised Commerz Real on the acquisition of a 74.9 percent stake in power transmission system operator Amprion from RWE.

Wind park joint venture*
Thomas advised Stadtwerke München on a joint venture with RWE Innogy and Siemens Project Ventures, relating to UK offshore wind park project "Gwynt y mor".

Supply agreements litigation and arbitration*
Thomas advised on litigation and arbitration arising from contractual claims and disputes relating to supply agreements.
