Biography

Vilhelm Oxhammar is an associate in our Debt Finance practice in Stockholm and joined White & Case in 2022. He advises private equity funds, corporates and banks on various types of finance transactions, including bond financings, domestic and cross-border leveraged acquisition financings, restructurings and recapitalizations.

Prior to joining White & Case, Vilhelm studied law at Uppsala University and Business and Economics at California State University. Vilhelm commenced his career at the Firm as Summer Associate and subsequently joined as Junior Trainee.

Experience

Representation of Nordic Capital: 

  • and its portfolio company iLOQ Oy, a leading provider within digital locking and access management solutions, on its issuance of new senior secured floating rate notes due 2029, through its holding company Capnor Weasel Bidco Oyj, and the establishment of a super senior revolving credit facility and the related intercreditor arrangements.
  • the underwriting and issuance of up to €450 million senior secured notes, its €50 million super senior revolving credit facility and the related intercreditor arrangements in connection with the acquisition of Foxway Group AB, a leading circular tech services provider in Europe.
  • and its portfolio company, Greenfood AB (publ), a leading player in the Nordic food retail market, on:
    • its issuance of floating rate sustainability-linked senior secured bonds due 2028 to refinance existing bonds. The team also acted on the related super senior revolving credit facility provided by Swedbank and associated intercreditor agreement; and
    • its issuance of SEK1,050,000,000 floating rate sustainability-linked senior secured bonds due 2025 to refinance existing bank funding. Pareto Securities and Swedbank acted as bookrunners. The bonds were issued under Swedish law and are expected to be listed on the sustainable bond list of Nasdaq Stockholm.

Representation of Air France-KLM, a leading global airline, on the acquisition of a 19.9 percent non-controlling stake in the share capital of Scandinavia's leading airline Scandinavian Airlines (SAS AB) and the related Swedish restructuring proceedings.

Representation of Stockholm Exergi, Sweden's leading district heating company and a pioneer in sustainable and circular solutions for heating, electricity and cooling in Stockholm, on the financing to build one of the world's largest carbon capture facilities. The investment level was 13 billion SEK and, in connection with the investment decision, long-term commitments for unsecured loans was obtained to secure the financing of the project and provide the company with access to additional working capital.

Representation of Circular Tire Service Europe Holding AB (CTS Group), a portfolio company of Norvestor and independent tire service company in the Nordics and Poland that provides services to commercial vehicle operators, on the issuance of its inaugural SEK 1.3 billion senior secured bonds.

Representation of Adelis, a Nordic private equity firm focused on the Nordic mid-market, on its issuance of new €65 million senior secured floating rate notes due 2028 under a framework of €100 million by its portfolio company Axentia, a Swedish leading provider of connected, low-power displays and related software for the public transportation sector.

Representation of Quant AB (publ) on the successful consensual recapitalisation of the Quant group, a global leader in industrial maintenance headquartered in Sweden. The recapitalisation included the exchange of Quant's Swedish law senior secured bonds issued in 2018 for new senior secured bonds due 2029 and holdco participating debentures due 2040, as well as a debt for equity swap. In addition, a new guarantee facility and intercreditor arrangements were put in place as part of the transaction.

Representation of Celero Capital, a Nordic lower mid-market private equity firm focused on the services, consumer goods and niche industrials sectors, in connection with:

  • the establishment of the inaugural group-wide financing for their portfolio company Opima, a company focused on supporting the Nordic manufacturing industry by offering a comprehensive range of workshop and automation services.
  • the establishment of the inaugural group-wide financing for their portfolio company Corteco, a leading provider of renovation and maintenance services in the "outer shell" market.
  • Representation of Celero Capital, a Nordic lower mid-market private equity firm focused on the services, consumer goods and niche industrials sectors, in connection with the establishment of the inaugural group-wide financing provided by a club of banks for their portfolio company Aterion, which consists of a group of entrepreneur-driven companies within the Nordic power industry offering power infrastructure services to power grid owners and other professional customers.
