Our London M&A partners Patrick Sarch, Allan Taylor, Sonica Tolani and Alex Woodfield have contributed to the latest Trends in UK Public M&A deals in 2025 report by Lexis Nexis, analysing the UK public M&A landscape in 2025 against a backdrop of significant regulatory developments under the Takeover Code and the National Security and Investment Act.
The report examines the 129 takeover transactions announced in 2025, comprising 56 firm offers, 58 possible offers and 15 formal sale processes and/or strategic reviews subject to the Takeover Code. It highlights a year characterised by resilient dealmaking, increasingly active overseas bidders and a rise in public-to-private transactions, despite declining deal values and fewer mega-deals compared with 2024.
The report also provides detailed insight into deal structures, bidder behaviour, sector activity and competing bids, alongside a comparative five-year overview of UK public M&A trends. Practitioner commentary offers expert analysis of recent regulatory developments and forecasts for deal activity in 2026 and beyond.
