White & Case advises Rossini on €10.7 billion Recordati voluntary public tender offer

Global law firm White & Case LLP has advised Rossini S.à r.l. (Rossini), a company indirectly controlled by CVC Capital Partners VII Limited, on the voluntary public tender offer for all ordinary shares of Recordati S.p.A. (Recordati), launched by CVC Fund IX and Groupe Bruxelles Lambert (GBL) through the newly incorporated Italian company Respighi BidCo S.p.A.
The offer, with a total transaction value of approximately €10.7 billion, is aimed at supporting the delisting of Recordati from Euronext Milan. The transaction is supported by a committed and stable shareholder base, including Rossini’s irrevocable undertaking to tender all of its 97,912,463 shares, representing 46.8 percent of Recordati’s share capital.
