Global law firm White & Case LLP has advised Serra Verde Group on its approximately US$2.8 billion combination with USA Rare Earth, Inc. (NASDAQ: USAR) to create a global leader spanning rare earth elements, oxides, metals and magnets.
Serra Verde is a large-scale producer of rare earth elements (REEs) and the only large-scale producer outside Asia of all four critical magnetic REEs. Serra Verde's mining and processing operations will play a central role in the establishment of the first mine-to-magnet rare earth supply chain outside Asia by combining with USAR's mining and downstream capabilities.
This transaction is the latest of several White & Case–led matters in the sector, including recently advising Serra Verde on its US$565 million financing.
The White & Case team was led by Project Development and Finance partner Thomas Pate and M&A partner Keith Hallam (both in New York). The team also included Project Development and Finance partner Patrick Johnson (Houston), counsel Ana Arias (Miami) and Xuefeng Wu (London), and associates Maria Eduarda Miranda (New York), Caroline McDonald and John Lawrence (both in Houston); Tax partner Scott Fryman (New York); and M&A partner Luisa Muskus (Houston) and associates Joshua Butler (New York) and Zachary Smith (Chicago). Law clerk Melinda Calderon (New York) also advised on the matter.
