Biography

Overview

Agmal is an associate in the M&A/Corporate practice group of the Firm's Frankfurt office. He advises corporate clients and financial investors on national and cross-border M&A transactions and corporate law matters.

Prior to joining the Firm, Agmal worked for the German Consulate General in Bangalore, India and for another international law firm in Frankfurt as a trainee lawyer.

He studied law at the EBS Universität Wiesbaden and the Holy Spirit University of Kaslik, Lebanon. Agmal also holds a master's degree in economics.

Advised Memsource, a leading AI-powered translation management system headquartered in the Czech Republic, and its majority shareholder The Carlyle Group, on the acquisition of a majority stake in Phrase, a leading German software localisation platform, from its existing shareholders.

Corestate Capital, 2021
Advised Corestate Capital Holding S.A. (CORESTATE), a leading independent investment manager for real estate in Europe, on the acquisition of Aggregate Financial Services (AFS), a leading debt financing platform and fully licensed securities trading bank. The transaction expands CORESTATE's leading position in the real estate development financing market as well as the wider real estate sector.

PEAC Finance Group, 2021
Advised PEAC Finance Group (PEAC) on its successful application for a banking licence. With the granting of the banking licence by the German Federal Financial Supervisory Authority (BaFin) and the European Central Bank (ECB) in December 2020, PEAC completed its transformation from a financial services institution to a credit institution.

Deutsche Bank, 2020
Advised Deutsche Bank AG (Deutsche Bank) on the extension of its strategic partnership with the Talanx Group (Talanx). The new agreement between Privatkundenbank Deutschland and Talanx covers products for the insurance of consumer and mortgage loans for the period starting January 1, 2023.

Deutsche Bank and DWS, 2020
Advised Deutsche Bank AG (Deutsche Bank) on the extension of its strategic partnership with Zurich to the Postbank brand and DWS Investment GmbH (DWS) on the extension of its strategic partnership with Zurich. The new agreement between Deutsche Bank and Zurich covers insurance products such as traditional and unit-linked life insurance and private property, accident and liability insurance for the period starting January 1, 2023. In addition, DWS has prematurely extended its strategic partnership in the unit-linked retail business in Germany until the year 2032.

Takeda Pharmaceutical, 2020
Advised Takeda Pharmaceutical Company Limited on an agreement to divest a portfolio of select non-core prescription pharmaceutical products sold in Europe and Canada to Cheplapharm for approximately US$562 million.

Panasonic, 2020
Advised Panasonic Corporation on its equity investment in Blue Yonder, the leading end-to-end supply chain software provider. The investment via a secondary sale of shares values Blue Yonder at an enterprise value of US$5.5 billion. Panasonic will have a 20 percent minority ownership stake and one seat on Blue Yonder's board of directors.

Galderma, 2020
Advised Galderma on the sale of Bübchen to Dallmann's Pharma GmbH, a Katjes International GmbH & Co. KG company. Bübchen is a German collection of kids and baby care products. Under the terms of the transaction, Dallmann's Pharma is acquiring the Bübchen business, including the Bübchen brand and its dedicated manufacturing site in Germany.

PGL / LOT, 2020
Advised the Polish Aviation Group (PGL), owner of LOT Polish Airlines S.A. (LOT), on the proposed acquisition of Germany's Condor Flugdienst GmbH (Condor). The proposed acquisition was preceded by a bidding process in which PGL prevailed over several financial investors.

Armonea / Colisée, 2019
Advised Armonea Deutschland GmbH, a subsidiary of Colisée Group, on the sale of DPUW Deutsche Pflege und Wohnen GmbH and its subsidiaries (DPUW) to a portfolio company of Trilantic Capital Partners. DPUW operates 14 nursing homes in Germany.

Nestlé, 2019
Advised Nestlé on the creation of a joint venture with Casa Tarradellas, with their respective stakes 40% and 60%. The joint venture will include Herta charcuterie (cold cuts and meat-based products), which is available in six European countries, and the Herta dough business in France and Belgium.

LOEWE, 2019
Advised the insolvency administrator Rüdiger Weiß on the sale of large parts of the traditional German company LOEWE Technologies GmbH (LOEWE). The buyer of the package, which includes technical fixed assets, machinery and the know-how and software rights (EMS and EMC equipment), is the Dr. Schneider Group, a Germany-based OEM automotive supplier.

Advised Easyfairs on the acquisition of 100% of the shares in Stuttgart-based Untitled Exhibitions GmbH, whose portfolio of events includes All About Automation, four regional trade fairs focused on industrial automation.

Advised a consortium composed of Brookfield Infrastructure and its institutional partners and GIC, Singapore's sovereign wealth fund, on the German aspects of the US$8.4 billion acquisition of Genesee & Wyoming Inc., a freight railroad owner and operator based in the United States.
