Overview

Heidi Schmid is a counsel in the Firm's Employment, Compensation and Benefits practice in New York.

Heidi specializes in advising clients on compliance with ERISA fiduciary and plan asset requirements including the structure and offering of complex securities and financial products, the formation and ongoing compliance of private equity and hedge funds, and compliance with ERISA's  prohibited transaction rules and exemptions.  Heidi advises financial institutions and plan sponsors on strategic approaches to pension plan and multiemployer plan liabilities in financial restructurings and distressed scenarios.

Recent matters include the representation of:

Hertz Global Holdings, Inc. (OTCPK: HTZGQ) in the US$7.22 billion reorganization and recapitalization of the company in the context of the company's Chapter 11 proceedings.

Neighborly Issuer LLC in the issuance and sale under an existing whole business securitization by Neighborly Company of (i) US$275 million Series 2023-1 7.308% Fixed Rate Senior Secured Notes, Class A‐2, (ii) US$5.025 million Series 2023-1 Senior Secured Liquidity Reserve Notes, Class A-1-LR and (iii) US$125 million Series 2023-1 Variable Funding Senior Secured Notes, Class A-1-VFN. The notes are secured by assets of Neighborly Issuer LLC and several of its related entities, including existing and future franchise agreements, certain assets related to the Neighborly Brand, existing and future intellectual property assets and certain economic benefits therein. The Class A‐2 notes have an anticipated repayment occurring five years after issuance. The Class A‐2 notes were rated "BBB-" by Kroll Bond Rating Agency LLC.

Oatly in connection with on-going advice in respect of their SEK3.6 billion revolving credit facility and related incremental facility, which was originally put in place in connection with Oatly's May 2021 US$10 billion initial public offering and Nasdaq New York listing on the Nasdaq Global Select Market.

Société Générale as Global Coordinator and Structuring Advisor in connection with the issue of US$1.5 billion Undated Deeply Subordinated Additional Tier 1 Capital Fixed Rate Resettable Callable Notes by Société Générale.

Matter Real Estate LLP in respect of the formation and launch of a pan-European real estate fund.
