Overview

Heidi Schmid is a counsel in the Firm's Employment, Compensation and Benefits practice in New York.

Heidi specializes in advising clients on compliance with ERISA fiduciary and plan asset requirements including the structure and offering of complex securities and financial products, the formation and ongoing compliance of private equity and hedge funds, and compliance with ERISA's  prohibited transaction rules and exemptions.  Heidi advises financial institutions and plan sponsors on strategic approaches to pension plan and multiemployer plan liabilities in financial restructurings and distressed scenarios.

Recent matters include the representation of:

  • Hertz Global Holdings, Inc. (OTCPK: HTZGQ) in the US$7.22 billion reorganization and recapitalization of the company in the context of the company's Chapter 11 proceedings.
  • Last Mile Energy Solutions, LLC, a developer of liquefied natural gas (LNG) production and distribution assets with headquarters in Houston, in its acquisition of CenterPoint Energy Mobile Energy Solutions, Inc., a provider of solutions with respect to compressed natural gas and LNG.
  • I Squared Capital Advisors (US) LLC in its acquisition of Star Leasing, a leading trailer lessor in the US.
  • Avangrid, Inc. (NYSE: AGR), a leading sustainable energy company with approximately US$38 billion in assets and operations in 24 U.S. states, as issuer, in a private placement to Iberdrola, S.A., Avangrid's majority shareholder, of 63,424,125 shares of its common stock, at a purchase price of $51.40 per share and a concurrent private placement to Hyde Member LLC, a wholly owned subsidiary of Qatar Investment Authority, of 14,396,887 shares of its common stock, at the same purchase price per share. The gross proceeds from both of the private placements were approximately US$4 billion. A portion of the proceeds will fund Avangrid's proposed merger with PNM Resources, Inc., and pay off the intra-group loan agreement with Iberdrola. A portion of the proceeds will also be contributed to fund Avangrid's investment plan.
