Biography
Head of the M&A/Corporate Group in Spain, Juan Manuel focuses on general corporate law, capital markets, mergers and acquisitions and private equity.
Ranked as a leading lawyer in his field by top legal directories IFLR 1000, Legal 500 and Chambers, Juan Manuel's reputation is based on a track record of supporting corporates and private equity funds in some of the most significant M&A cross-border transactions in the Spanish markets.
Clients also look to Juan Manuel for his experience advising on domestic and international capital markets transactions. He brings knowledge and insight to clients' public and private equity and debt requirements, handling initial public offerings (IPOs), including SEC registered, Rule 144A and Regulation S transactions.
At ease navigating the multijurisdictional intricacies of major cross-border deals, he is dual-qualified in Spain and New York and fluent in English, French, Italian and Spanish.
Juan Manuel joined the firm in March 2013 from an international law firm in Madrid, where he was a partner and the head of the Corporate department in Spain.

Iberdrola, S.A. an international electric utility company headquartered in Spain, in its acquisition of the remaining 18.4% of shares it did not previously own of Avangrid, Inc. an energy services and delivery publicly traded company listed on the NYSE (NYSE: AGR), for approximately $2.6 billion.
Bunge, the NYSE-listed, global, soft commodities trading house, on its c.US$850m joint venture with Repsol, the Spanish multinational energy and petrochemical group, for the production and supply of biofuels.
Iberdrola on its €5 billion equity capital increase, one of the largest ever carried out by a Spanish listed company, aimed at funding strategic growth initiatives in the United States and the United Kingdom. The transaction was structured as an accelerated bookbuilding offering and involved the issuance of new ordinary shares to qualified investors.
A bank syndicate comprised Goldman Sachs and Natixis as joint global coordinators, Barclays, Bank of America, Citi, Crédit Agricole CIB, J.P. Morgan and Société Générale as joint active bookrunners and ING as passive bookrunner on Ferrovial's €400 million non-dilutive convertible bond issuance.
Banco Santander S.A. (Banco Santander) on the sale of 5.32 million ordinary shares of Santander Bank Polska S.A. (Santander Bank Polska) at PLN 463 per share through an accelerated book-building process. The transaction, valued at PLN 2.463 billion (€575 million), represents 5.2 percent of Santander Bank Polska's existing share capital.
Banobras and FONADIN under New York law in connection with the US$1.2 billion senior secured term loan provided by Banobras and the US$2.4 billion equity contribution made by FONADIN to the acquisition trust through a Mexican law- governed CKD Issuer Trust Agreement (Fideicomiso Emisor de Certificados Bursátiles |Fiduciarios de Desarrollo).
Abu Dhabi Future Energy Company (Masdar) on the formation of a joint venture with Spanish listed multinational electric utility company Iberdrola group to jointly develop and operate project "Baltic Eagle", a 476 MW offshore wind farm located in the German Baltic Sea near the island of Rügen and valued at approximately €1.6 billion.
J.P. Morgan AG, financial advisor to the board of directors of ACS Actividades de Construccíon y Servicios S.A., in ACS's US$5.75 billion (€4.9 billion) sale of its Energy Business to Vinci S.A.
Avangrid, Inc. (NYSE: AGR), as issuer, in a private placement to Iberdrola, S.A., Avangrid's majority shareholder, of 63,424,125 shares of its common stock, at a purchase price of $51.40 per share and a concurrent private placement to Hyde Member LLC, a wholly owned subsidiary of Qatar Investment Authority, of 14,396,887 shares of its common stock, at the same purchase price per share.
Neoenergia S.A., Iberdrola Energía S.A.U, Caixa de Previdência dos Funcionários do Banco do Brasil (PREVI) and BB-Banco de Investimento S.A. (as selling shareholders) in the initial public offering in Brazil and 144A/Reg S offering outside of Brazil of 208,044,384 common shares of Neoenergia, sold by the selling shareholders on the Brazilian Stock Exchange (B3) in the aggregate amount of BRL 3.7 billion (US$957 million).
CaixaBank, S.A., a leading Spanish bank listed on the Madrid Stock Exchange, as issuer in the issue of €1,250,000,000 Additional Tier 1 Preferred Securities listed on AIAF (Spain's regulated fixed-income market).
Deutsche Bank AG, London Branch as Global Coordinator and Citigroup Global Markets Limited as Co-Global Coordinator in a €121,549,669 private placement, through an accelerated bookbuilding process, of the Spanish bank Liberbank, S.A.
Parques Reunidos and Arle Capital on the IPO on the Spanish Stock Exchange of Parques Reunidos, the Spanish business which owns a number of theme parks, aquariums and water parks around the world. Value: €1.25 billion.
Citi and Deutsche Bank on the sale of €104.5 million shares of Repsol owned by Pemex and its wholly owned subsidiary PMI, representing 7.86% of the Repsol share capital, to qualified and institutional investors in an accelerated bookbuilding process. Value: €2.2 billion.
