Head of White & Case's Asia Capital Markets Practice, Kaya concentrates primarily on international securities and finance work. She has extensive experience in emerging markets, including advising on some of the largest securities offerings in South East Asia in recent years.
Dual-qualified in New York and England & Wales, Kaya represents public and private issuers, underwriters, selling shareholders, trustees and depositaries in equity and debt offerings and exchange listings. In addition, she has significant experience representing sovereign governments in connection with external debt offerings.
Kaya's work includes US offerings pursuant to Rule 144A, offerings outside the US under Regulation S, including global MTN programs, initial public offerings, US SEC-registered offerings, accelerated book-build and block trade transactions and traditional US private placements. She also has substantial experience advising on capital markets issues involved in international debt restructurings and liability management, including tender and exchange offers, debt buy-backs and consent solicitations.
Kaya is ranked Band One for Singapore Capital Markets: International in Chambers Asia Pacific 2016-2019 and Chambers Global 2016-2018, has been recognized as a leading individual for Singapore Capital Markets by Asia Pacific Legal 500 2017-2019 and IFLR1000 2011-2019 and for Indonesia Capital Markets by Chambers Asia Pacific. She was named one of the IFLR1000's Women Leaders in 2018 and 2019 and also awarded "Best in capital markets" at Euromoney's Asia Women in Business Law Awards for 2015 and 2016.
Kaya is also the Executive Partner of White & Case's Singapore office. Prior to transferring to Singapore, she worked in the Firm's New York and London offices.

Represented initial purchasers in the Rule 144A/Regulation S offering of US$650 million 4.875 percent Senior Notes due 2025 and the Rule 144A/Regulation S tap offering of US$350 million 4.875 percent Senior Notes due 2027 of Melco Resorts Finance Limited, a wholly-owned subsidiary of Melco Resorts & Entertainment Limited.
Greentown China's Regulation S offering of Senior Perpetual Capital Securities Callable
Represented Greentown China Holdings Limited, a Chinese luxury real estate developer listed on the Hong Kong Stock Exchange, in its global Regulation S offering of US$450 million 5.25 percent Senior Perpetual Capital Securities Callable 2020.
TOA Paint (Thailand) Public Company Limited's IPO
Represented TOA Paint (Thailand) Public Company Limited in its THB12.2 billion (approximately US$358.5 million) IPO of ordinary shares, and its listing on the Stock Exchange of Thailand, which included an international offering in reliance on Regulation S. TOA Paint is the leading paint and coating producer and distributor in Thailand, with an operational footprint across the ASEAN Economic Community (including Cambodia, Laos, Myanmar, Indonesia and Vietnam).
Exit placement by BTMU in CIMB
Represented Credit Suisse and Morgan Stanley as placement agents in a Rule 144A/Regulation S placement of 412,506,345 ordinary shares (with a value of approximately US$605 million) of CIMB Group Holdings Berhad, which is listed on the Main Market of the Bursa Malaysia Securities Berhad.
US$1.16billion Melco Resorts & Entertainment Limited primary sale of ordinary shares and ADSs
Represented Deutsche Bank Securities Inc., UBS Securities LLC and Morgan Stanley & Co. LLC as underwriters in the US registered primary sale of ordinary shares and American depositary shares (ADSs) of Melco Resorts & Entertainment Limited (MREL), valued at approximately US$1.16 billion.
US$1.7 billion IPO of Jasmine Broadband Internet Infrastructure Fund (JASIF)
Advised on the THB55 billion (approximately US$1.7 billion) IPO of investment units of JASIF, and its listing on the Stock Exchange of Thailand, which included an international offering in reliance on Regulation S and Rule 144A. This offering is one of the largest IPOs in Thailand since 2013. JASIF will be Thailand's second telecommunications infrastructure fund to be established under Thailand's infrastructure fund regime, with Jasmine International Public Company Limited acting as sponsor. The deal was named the "Equity Market Deal of the Year (Premium)" at the ALB SE Asia Law Awards 2016.
€3 billion Eurobond offering by Republic of Indonesia (RoI)
Represented RoI on its first dual-tranche Eurobond offering, selling an aggregate of €3 billion senior unsecured fixed rate notes, comprising a €1.5 billion 7-year tranche and a €1.5 billion 12-year tranche, and issued under its US$40 billion Global Medium Term Note Program. At the date of closing this was the largest ever Eurobond offering out of Asia and the largest Eurobond offering by a non-European sovereign.
Greentown China's liability management transactions
Represented Greentown China Holdings Limited, a luxury residential property developer in China listed on the Hong Kong Stock Exchange, on its solicitation of consents from holders of its RMB2.5 billion 5.625 percent Senior Notes due 2016, US$700 million 8.50 percent Senior Notes due 2018 and US$500 million 8.0 percent Senior Notes due 2019 and concurrent offer to exchange the US dollar-denominated Senior Notes due 2018 and 2019 for, and Regulation S offering to new investors of, US$500 million 5.875 percent Senior Notes due 2020. The deal won a 2015 "Triple A Regional Deal Award for Best Liability Management" from The Asset and 2016 "Debt and Equity-Linked Deal of the Year" from China Law & Practice.
