Head of White & Case's Asia Capital Markets Practice, Kaya concentrates primarily on international securities and finance work. She has extensive experience in emerging markets, including advising on some of the largest securities offerings in South East Asia in recent years.
Dual-qualified in New York and England & Wales, Kaya represents public and private issuers, underwriters, selling shareholders, trustees and depositaries in equity and debt offerings and exchange listings. In addition, she has significant experience representing sovereign governments in connection with external debt offerings.
Kaya's work includes US offerings pursuant to Rule 144A, offerings outside the US under Regulation S, including global MTN programs, initial public offerings, US SEC-registered offerings, accelerated book-build and block trade transactions and traditional US private placements. She also has substantial experience advising on capital markets issues involved in international debt restructurings and liability management, including tender and exchange offers, debt buy-backs and consent solicitations.
Kaya is ranked Band One for Singapore Capital Markets: International in Chambers Asia Pacific 2016-2020 and Chambers Global 2016-2020, has been recognized as a leading individual for Singapore Capital Markets by Asia Pacific Legal 500 2017-2020 and IFLR1000 2011-2020 and for Indonesia Capital Markets by Chambers Asia Pacific 2013-2020. She has been named one of the IFLR1000's Women Leaders since 2018, and was also awarded "Best in capital markets" at Euromoney's Asia Women in Business Law Awards for 2015 and 2016.
Prior to transferring to Singapore, she worked in the Firm's New York and London offices.

Represented the Joint Global Coordinators and Joint Bookrunners in the secondary offering of 648,508,000 ordinary shares in PT MAP Aktif Adiperkasa Tbk, a company listed in the IDX, with an offer price of Rp.6,500 per share (total offering size of IDR4.15 trillion or approximately US$291 million), by a selling shareholder.
Republic of Indonesia (RoI)'s US$25 billion Trust Certificate Issuance Program and subsequent US$2 billion dual tranche sukuk offering
Represented the Arrangers and Managers on the update of RoI's Rule 144A/Reg S US$25 billion Trust Certificate Issuance Program and the subsequent US$2 billion dual tranche sukuk offering under the Program. The offering involved the issuance of a tranche of US$1.25 billion sukuk due 2029 and a tranche of US$750 million Green sukuk due 2024.

US$1.7 billion IPO of Jasmine Broadband Internet Infrastructure Fund (JASIF)
Advised on the THB55 billion (approximately US$1.7 billion) IPO of investment units of JASIF, and its listing on the Stock Exchange of Thailand, which included an international offering in reliance on Regulation S and Rule 144A. The deal was named the "Equity Market Deal of the Year (Premium)" at the ALB SE Asia Law Awards 2016.
