Biography

Mathias focuses on the contractual side of complex, often cross-border commercial and technology transactions. His practice spans the full range of sourcing and technology agreements – including information technology (IT) and business process outsourcing, system integration, cloud and licensing deals – as well as commercial arrangements such as manufacturing, supply, distribution and agency agreements.

A core part of his practice involves advising on the intellectual property (IP), information technology (IT) and data protection aspects of M&A, Private Equity and Finance transactions, with particular depth in carve-outs and complex divestiture structures.

Mathias is particularly active in the financial services sector, where he advises on the contractual dimensions of regulatory compliance, including the implementation of outsourcing requirements and DORA.

Experience

Representative matters include:

Advised Norvestor Nova I SCSp, a fund advised by Norvestor Advisory, on its agreement to acquire a majority stake in Debtist GmbH, an AI driven, technology enabled receivables management and digital debt collection company. 

Advised Rimac Group and Bugatti Rimac on the sale by Porsche of its stakes in the group to an international consortium led by HOF Capital.

Advised CVC on its acquisition of Animal Nutrition & Health (ANH) from dsm-firmenich via a carve-out transaction and for an enterprise value of €2.2 billion as well as on CVC Funds' US$4.3 billion acquisition of IFF's food ingredients business

Advised Regnology, a leading provider of regulatory, risk, tax and finance reporting solutions as well as supervisory technology and portfolio company Nordic Capital, on its exclusive agreement to acquire Moody's regulatory reporting & ALM solutions business as well as on the acquisition of Wolters Kluwer's Finance, Risk & Regulatory Reporting (FRR) unit.

Advised Samsung Electronics on its €1.5 billion acquisition of Germany-headquartered FläktGroup, a global provider of heating, ventilation and air-conditioning (HVAC) solutions, from funds advised by German-Swedish investment company Triton, which acquired FläktGroup in 2016.

Advised Groupe BPCE on the acquisition of the activities of Société Générale Equipment Finance, one of the leading European providers of industrial equipment lease financing. 

Advised ABN AMRO Bank N.V. on its acquisition of Hauck Aufhäuser Lampe Privatbank AG from Fosun International Limited.

Advised Merck KGaA, Darmstadt, Germany, a leading science and technology company, on the agreement to acquire life science company Mirus Bio for US$600 million.

Advised Faurecia S.E. on its public takeover offer to the shareholders of HELLA GmbH & Co. KGaA in the form of a cash offer and the separate acquisition of HELLA shares held by the family shareholder pool resulting in an overall transaction value of approx. EUR 6.8bn.

Advised a German blue chip company on the re-tendering and outsourcing of its global IT infrastructure.

Advised a leading car manufacturer regarding the setup of a new global cloud-based HR system.

Advised a German industrial company on the transition of essential corporate software into the cloud (including ERP-software) and on concluding a framework agreement for a comprehensive HR cloud solution following a tender process involving several providers.

Advised a leading German bank on the identification and implementation of amended outsourcing requirements from EBA and BaFin.

Advised various clients from the financial sector on amending contracts and templates to comply with DORA contractual requirements and supporting negotiations with suppliers.
