Biography
Samantha is a partner in the Firm's Employment, Compensation & Benefits practice in Chicago.
Samantha's practice focuses on executive compensation and employee benefits matters in connection with mergers and acquisitions and other corporate transactions, with particular expertise in private equity, strategic domestic and cross-border M&A, and carve-out transactions. Samantha also advises public and private companies on the design, implementation, and administration of various executive compensation arrangements, such as equity and cash incentive plans. In addition, Samantha regularly drafts and negotiates employment, separation, restrictive covenant, change in control, and other compensation-related agreements on behalf of both employers, as well as executives and management teams.
Prior to joining White & Case, Samantha worked in the New York office of another global law firm.

Recent experience includes the following representations:
- I Squared Capital, an independent global infrastructure investment manager, in multiple transactions, including its acquisition of Priority Power Management, LLC, an independent energy management services and infrastructure consulting firm that provides energy management services and infrastructure solutions for commercial and industrial customers
- Toyota Tsusho Corporation on its landmark US$1.34 billion acquisition of Radius Recycling, Inc. (Nasdaq: RDUS).
- IFS North America, Inc., an affiliate of Industrial and Financial Systems, IFS AB, a leading global cloud enterprise software company, in multiple transactions, including its acquisition of Softeon, a leading provider of supply chain software.
- Nomura Holdings America Inc., the U.S. arm of the Nomura Group, a global financial services group and one of Japan's largest investment banks and brokerage group, on its US$1.8 billion acquisition of Macquarie's U.S. and European public asset management business.
- WE Soda Ltd, an affiliate of Ciner Enterprises Inc., on its approximately US$1.425 billion acquisition of Genesis Alkali, the largest US-based producer of natural soda ash, from Genesis Energy LP (NYSE: GEL), which establishes WE Soda as the largest global producer of soda ash.
- Nordic Capital in its acquisition of a majority stake in Anaqua, a global intellectual property management SaaS platform, from Astorg.
- Kohler Co. in the multi-jurisdictional carve-out and sale of its energy business to Platinum Equity, a private equity firm.
- EnCap Investments L.P., a leading private equity firm specializing in the energy industry, in its sale of Broad Reach Power LLC, one of the premier independent utility-scale energy storage and renewable energy platforms in the United States and a portfolio company of EnCap, to the French multinational utility company ENGIE.
- Elementis Plc, a global specialty chemicals company, on its US$170 million sale of its chromium business to Yildirim Group.
- The management team of Ardurra Group, Inc., a Miami-based engineering and design services firm, in connection with the sale of Ardurra Group, Inc. by RTC Partners to Littlejohn & Co. LLC.
- Quad-C Management Inc., a leading middle market private equity firm, in its acquisition of QED Technologies International, Inc. from Entegris, Inc. (NASDAQ: ENTG), a leading supplier of advanced materials and process solutions for the semiconductor and other high-technology industries.
- Pipeline Technique, a portfolio company of Bluewater Private Equity, on its acquisition of the Stanley Oil and Gas business from Stanley Black & Decker, a Fortune 500 NYSE-listed international pipeline services and equipment company.
- Javo Beverage Company, Inc., a leading natural extractor of clean label coffee, tea, and botanicals with a focus on beverage application, in its acquisition by Florida Food Products, LLC, one of the world's largest independent providers of natural ingredients.
- Hexatronic Group AB (publ), a fiber optic company based in Sweden, on its acquisition of US-based Rochester Cable, a leading manufacturer of electro-optical cables for operation in harsh environments, from industrial technology company TE Connectivity.
