Our White & Case office in Madrid has become one of the main international law firms in the Spanish Market.

Our combined strength in both domestic and cross-border M&A, Capital Markets and Banking Finance capabilities is highly appreciated by the Spanish clients, and it is also a key piece in cross-border multinational deals. In addition, we offer a unique combination of UK/US/Spanish M&A law counsel on the ground in Spain.

Our Spanish team plays an important role as the link between the Firm's Latin American and European practices. The majority of our practitioners are trained in more than one jurisdiction, and clients consider this a major asset. The Spanish team works on a broad range of legal matters, including complex corporate and financial transactions with cross-border aspects. We have been involved in some of the largest and most sophisticated transactions in the local market for the last five years.

RECENT HIGHLIGHTS

Largest cross-border banking acquisition since 2007 financial crisis
Represented Goldman Sachs International, as financial adviser, on the proposed £1.7 billion public cash offer by Banco de Sabadell S.A. for TSB Banking Group plc, and as underwriter to Banco de Sabadell's rights issue, which raised gross proceeds of approximately €1.6 billion.

Big-ticket capital market transaction for a Top Spanish Financial Instution
Represented CaixaBank, S.A., a leading Spanish bank listed on the Madrid Stock Exchange, as issuer in the issue of €1,250,000,000 Additional Tier 1 Preferred Securities listed on AIAF (Spain's regulated fixed-income market).

Spanish IPO
Represented Citigroup Global Markets, Goldman Sachs International, BBVA and Banco Santander, as joint global coordinators, on the IPO of Prosegur Cash, S.A., a subsidiary of Prosegur Compañía de Seguridad, S.A. formed to hold its global cash in transit business.

Top telecom M&A transaction
Represented Samsung in the acquisition of the Spanish company Zhilabs, S.L., a company engaged in the business of network analytics for telecoms.

Sovereign fund investment in Spain's oil & gas sector
Represented Wren House Infrastructure, the investment arm of the Kuwait Investment Authority, on its US$550 million investment in the global electricity generation business of the Spanish utility giant, Gas Natural Fenosa (GNF).

One of the largest PE acquisition in Spanish real estate
Represented Klépierre, the leading European shopping center platform, in the disposal of the Gran Via de Hortaleza retail mall located in Madrid (Spain) to Carmila. The disposal also involved the sale of the Grand Vitrolles retail mall located near Marseille (France), also to Carmila.
